Zeek Rewards Receiver Sues MLM Attorney Kevin Grimes And Howard Kaplan For $100 Million

Kenneth Bell, the Zeek Rewards Receivership, filed a request for permission to file separate actions against two of Zeek Rewards attorneys,Kevin Grimes and Howard Kaplan.
The Zeek Receivership:
From January 2011 until August 2012, RVG operated a massive Ponzi and pyramid scheme through ZeekRewards, an internet based so-called “MLM” (multi-level marketing) program.
Kevin D. Grimes served as legal counsel to RVG from around January 2012 until August 2012, when RVG was placed into receivership.
By virtue of his knowledge of RVG and ZeekRewards and his legal expertise, Grimes knew or should have known that RVG was perpetrating an unlawful scheme which involved a pyramid scheme, an unregistered investment contract and/or a Ponzi scheme.
Despite this knowledge, Grimes actively encouraged investors to participate in the scheme by creating a so-called “compliance” program that provided a false façade of legality and legitimacy and knowingly allowed his name to be used to promote the scheme.
Grimes knew or should have known that insufficient income from the penny auction business was being made to pay the daily “profit share” promised by ZeekRewards.
Grimes knew or should have known that the money used to fund ZeekRewards’ distributions to Affiliates came almost entirely from new participants rather than income from the Zeekler penny auctions.
Further, Grimes knew or should have known that the alleged “profit percentage” was nothing more than a number made up by Burks or one of the other Insiders.
Rather than reflecting the typical variances that might be expected in a company’s profits, the alleged profits paid in ZeekRewards were remarkably consistent, falling nearly always between 1% and 2% on Monday through Thursday and between .5% and 1% on the weekends, Friday through Sunday.
With RVG’s and Grimes’ knowledge, Affiliates regularly and openly touted the consistent payments in their recruiting of new participants.
For example, one leading Affiliate’s email footer said:
“It has been going like clockwork for over 220 days, 7 days per week.”…. “EVERYONE. . .GETS. . .PAID. . .FIRST. . .DAY!” . . . This works every time with just one minute per day!
If you’re not getting paid every single day for 1 minute of work, . . . [sic] why not?” . . . “100 percent of our active members are paid daily 100 percent of the time within their first 24 hours without any referrals.”
This fake consistency should have, at a minimum, caused reasonably diligent legal counsel to inquire further about the validity of the alleged profits.
Indeed, the program publicly advertised historical average returns of 1.4% per day, which no legitimate investment could accomplish.
But, Grimes deliberately turned a blind eye to these incredible claims and chose not to seek further information.
It was or should have been obvious to Grimes that ZeekRewards succeeded because it promoted this lucrative “compensation plan,” offering large amounts of passive income to entice individuals to participate in the scheme.
Grimes knew that participants in the ZeekRewards scheme invested money in the scheme expecting that they would receive profits from the Zeekler penny auction or other Zeek efforts.
Thus, Grimes knew or should have known that RVG, with his assistance, was promoting an unlawful unregistered security.
Finally, Grimes knew or should have known that the ZeekRewards compensation plan was paying Affiliates to recruit other Affiliates in an unlawful pyramid-style payment system.
The Matrix pyramid was initially a “2×21” matrix in which Affiliates made multi-level marketing commissions for 21 levels down in their “organization.” Later, ZeekRewards used a “2×5 forced-fill matrix”.
To get bonuses through the Matrix, Affiliates just had to (1) enroll in a monthly subscription plan requiring payments of $10, $50, or $99 per month; and (2) recruit at least two other “Preferred Customers” (i.e., investors who also enrolled in a monthly subscription plan).
Once qualified, Affiliates earned bonuses and commissions for every paid subscription within their “downline” pyramid, whether or not they
personally recruited everyone within the matrix.
Simply put, Grimes knew or should have known that affiliates were rewarded merely for recruiting new investors without regard to any efforts by the Affiliates to sell bids or products or otherwise materially support the Zeekler retail business.

TelexFree Inches Closer To Chapter 7

Yesterday saw a hearing for TelexFree Trustee Stephen Darr’s request for permission to subpoena several companies associated with TelexFree. Darr had also requested permission to conduct depositions with individuals from said companies, with the court granting him permission to proceed.
Five such motions were filed by Darr, with three of them granted as proposed. Alvares and Marsal (financial consultants to TelexFree) objected only to having to share emails between the firm and its legal counsel.
Darr agreed to this on condition that he reserves the right to request the emails, if needed, at a later date. A & M consented on condition they retain the right to appeal any such requests.
At the time of publication, no order has been made public regarding Darr’s request to subpoena TelexFree’s law firm Greenberg Traurig, however news reports suggest permission was granted on all five subpoena requests.
Speaking to the Worcester Telegram about why he had to file the requests, Darr remarked
There are no employees left. There’s no insurance. There never was insurance.
I have no money to start up the business. I just don’t know if there ever was a business. I’m hampered by a lack of records.
Following a raid on TelexFree’s headquarters, HSI and FBI agents seized a host of TelexFree’s onsite electronic equipment and paper records. Likely due to their being used to collect evidence in the eventual showdown between regulators and TelexFree in court, Darr does not currently have access to the seized assets.
What “insurance” Darr is talking about I’m not sure, but it’s a possible reference to repeated claims by Carlos Costa that affiliate investments with TelexFree were somehow insured.
As for Darr not having any money, it is believed that fugitive TelexFree owner Carlos Wanzeler (currently hiding out in Brazil), still retains control over millions of dollars in hidden TelexFree funds.
In clear breach of a preliminary injunction granted last month, Wanzeler has thus far refused to relinquish control of these assets to either the SEC or the TelexFree Trustee.
Whether or not Darr has been in direct contact with Wanzeler is unclear, however in justifying his subpoena requests, Darr noted that ‘TelexFree’s principals are unavailable‘.
In requesting permission to subpoena various companies who were in communication with TelexFree prior to their shutdown, Darr no doubt hopes to gain a clearer picture of the mess he’s been appointed to clean up.
Offering some insight into his long-term plans for TelexFree, Darr went on to reveal that
he has met with the Securities and Exchange Commission and the U.S. attorney’s office.
He notified TelexFree’s landlord that he would end the company’s $6,000-a-month lease of five offices, three conference rooms and cubicle space in Marlboro. Office furniture will be auctioned off, he said.
What the funds raised by the auction will go towards wasn’t specified, but it shadows action taken by the Zeek Rewards Receiver to recover as much funds as possible. Those funds were then used to pay back Zeek Rewards victims.
At the time of publication no decision has been made yet on paying out TelexFree victims, however Darr selling off what TelexFree assets are currently available to him suggests he’s not interested in resurrecting the business.
TelexFree CEO in hiding Stuart MacMillan’s dream of $50 million a month in retail VOIP sales is going to be pretty hard to realize without office space, furniture or equipment.
In my opinion, it’s far more probable that we’re seeing the first steps towards an inevitable Chapter 7 liquidation.
Darr’s subpoena requests were the first steps, as information gleaned will likely reveal a complete lack of legitimate business activity in TelexFree, thus providing the justification Darr will require to convert TelexFree’s current Chapter 11 application.
Bear in mind that’s probably still a ways off though. Once he’s received the information he requests, Darr still has to go through it all and then make a decision on the future of the company.
Meanwhile, stay tuned for reports out of Brazil that Darr sold TelexFree furniture and cancelled the office lease simply in order to upgrade it all.
I hear there’s an unfinished Best Western hotel somewhere in Brazil going pretty cheap…
In related news, long-time Ponzi lawyer Gerry Nehra has had his legal representation file an appearance. Multiple class-action lawsuits in which Nehra and his law firm have been named defendants are pending.
Faith Sloan has also filed a reply to the SEC’s response to her Motion to Dismiss the SEC’s case against her.
Despite a long history of Ponzi and pyramid scheme promotion, Sloan maintains she never
made any material misrepresentations in connection with the sale of a security or that she consciously intended to defraud anyone or acted with a high degree of recklessness in selling a security.
(The SEC) alleges that Ms. Sloan does not deny that it has stated a claim that TelexFree was engaged in an illegal Ponzi or pyramid scheme.
The fact is that Ms. Sloan does not have knowledge of whether TelexFree engaged in such a scheme or not.
In light of the probable complete lack of retail VOIP sales Sloan made as a top TelexFree investor, whether or not the court accepts her argument remains to be seen.

Avon To Cut About 600 Jobs

Cosmetics maker Avon Products Inc said it would cut about 600 jobs, including in its North America unit, as the company struggles to return to profit.
The direct seller of cosmetics, which has posted losses in five of the past six quarters, had about 36,700 employees, including 4,300 in the United States, at the end of December, according to its latest annual filing.
Avon will take a pretax charge of $45 million-$50 million, of which $40 million is expected to be recorded in the current quarter ending June, the company said in a statement on Monday.
The job cuts and other restructuring efforts are expected to result in annual savings of about $50 million to $55 million, Avon said.
The company is struggling to turn around its fortunes after a host of problems in key markets such as Russia, Latin America and the United States hurt profits.
Avon's net loss widened to $168.4 million, or 38 cents per share, in the first quarter ended March 31 from $13.7 million, or 3 cents per share, a year earlier.
Sales in North America fell 22 percent in the quarter as its products faced competition from inexpensive beauty items at drugstores or from chains such as Sephora.
The company also said in May that it would pay the U.S. government $135 million to settle a multi-year overseas bribery probe.
Avon's shares closed at $14.69 on the New York Stock Exchange on Monday. The stock has fallen about 15 percent in the six months to Monday's close.

Willagirls, Network Marketing for Teens and Tweens

Known as "Willagirls," the teens and tweens host Tupperware like get-togethers at home, school or just about anywhere eight- to 13-year-olds hang out. Invites typically are extended via text message, since "nobody uses email anymore," Ms. Messner says. So far Willagirl, which doesn't disclose annual sales, has recruited 42 sellers in New York, Miami, New Jersey, California, Colorado and Maryland, among other states.
For Willagirl's young sales reps, the company offers 25% of total sales, for a potential monthly income of $320 to $3,500, according to a pamphlet sellers distribute at their parties. Party hosts also receive 15% of retail sales from the party in free products, plus one half-price item if party sales exceed $400.
"There are all these hidden costs that are tied to brick-and-mortar retailing," says Willagirl founder and chief executive Christy Prunier, "and besides, tween girls aren't going to malls anymore." The company, based in Riverside, is currently building out software, which by September will allow the girls to host "virtual" parties online, she adds.
Willagirl is one of a handful of startups that in the past few years have turned to business models combining e-commerce and social media with the traditional direct-sales tactics pioneered by Tupperware, Mary Kay and Avon. Most are aimed at young women. The direct-sales industry generates $32.67 billion a year in U.S. business, the Direct Selling Association estimates.
Stella & Dot, a San Francisco-based direct-sales jewelry and accessories company started in 2007 today has more than 20,000 sales reps. Origami Owl, founded in Arizona in 2010, sells jewelry through a network of some 60,000 sales reps.
But incentives to recruit other sales reps—a staple of larger players in the direct-sales market, such as Herbalife HLF +1.40% —can raise red flags among critics of the model, also known as multilevel marketing.
"It all depends on the incentives in the compensation plans," says Douglas Brooks, a Boston, Mass., lawyer who has represented dozens of sales reps in lawsuits against direct sellers. Many of the plaintiffs built up inventories of unsold products trying to qualify for a recruiting bonus tied to sales—what Mr. Brooks and others liken to a pyramid scheme of endless recruiting: "If you make people buy a certain level of inventory to qualify as a recruiter, you're creating an artificial demand for the products," he says.
In a white paper released in March, Mr. Brooks, along with two co-authors, estimates that up to 99% of sales reps of large multilevel marketers lose money, while the top 1% earn an average income of about $128,000.
Chantel Waterbury, the founder of Chloe & Isabel, a New York-based direct-sales jewelry company launched in 2011, said her company doesn't offer a bonus or commission for recruiting new sales reps. Her roughly 4,500 U.S. sales reps—with a median age of 26—can earn anywhere from $50 to $400 in an hour during sales events on cash commissions ranging from 25% to 40%. Chloe & Isabel backers include venture capitalists such as General Catalyst Partners and First Round Capital.
A former Hollywood producer, Willagirl founder Mrs. Prunier says she was inspired to launch the brand six years ago by her daughter, Willa Doss. Then 8 years old, Ms. Doss complained about having to use her baby sitter's skin-care products, because there were no lotions in the marketplace for girls her own age.
Mrs. Prunier says Willagirl's sales reps don't buy their own inventory in advance. Instead, they take orders from customers, which the company fulfills itself, as orders come in. "They're never sitting on products," she says. "It's not work. It's what these girls like to do and their moms are thrilled that they're saving money and developing important skills."
They do, however, earn money by recruiting other sellers.
On top of her own sales, Hartley Messer has recruited seven other Willagirls, earning an additional 5% of each of their sales as well, under the company compensation agreement.
"She's recruited a team of girls and loves to coach them with sales tactics—she paces back and forth on her cellphone talking to them," says her mother, Neile Messer.
Hartley Messer, one of Willagirl's top sellers, says she has hosted four Willagirls parties since February, earning roughly $1,000 to date. Under a pact with her parents, who put up about $199 for an initial sales kit, half of her earnings go into a college fund, according to her mother. Nearly all the rest is spent on clothes, Hartley says.
By the end of the party, Hartley had collected about a dozen orders for a range of products. Most were filled out by the girls themselves, but paid for by their parents' credit cards. She also recruited at least one new Willagirl ? her 13-year-old neighbor, who tried out the face mask and filled out an order form for roughly $60 of face cream, sunscreen, body lotion and lavender face towels.
"My friend bought me one of the bags and I really liked it," said Olivia Wise, the new recruit.

Solavei Sales Numbers Revealed

Just a few weeks after filing for Chapter 11 bankruptcy protection, Solavei CEO Ryan Wuerch said that the company is doing better than expected.
"We're actually doing far better than we anticipated," he told FierceWireless, estimating that only around 5 percent of the company's customers know about its bankruptcy filing. "We've had very little attrition."
T-Mobile US (NYSE:TMUS) MVNO Solavei filed for Chapter 11 bankruptcy protection earlier this month, but said it will continue to operate normally while it restructures. The company launched service in the fall of 2012, and anticipates exiting bankruptcy later this year.
Solavei's bankruptcy filing, obtained by FierceWireless, offers a surprisingly candid view into the MVNO's business–which is rare, considering most U.S. MVNOs don't offer much information on their customer numbers and revenues. According to Solavei's bankruptcy filing, the company was founded in late 2011 around the concept of "social commerce." Specifically, Solavei pays a $5 referral commission each month for every subscriber a customer personally refers to Solavei, and this monthly commission continues for as long as the referred subscriber remains a Solavei customer.
Under Wuerch's direction, the company has grown to 51 full-time employees and an annual revenue rate of $65 million. The company has signed up a total of over 250,000 customers to its service since it launched, and as of May 31 it counted 101,500 customers. Around 35,000 of those current customers have built networks that qualify for commissions.
And, in October, Solavei expanded its business further with its "Marketplace" service, which offers participants discounts on restaurants, coffee shops, clothing and other retail purchases. And that's not the end of the company's ambitions:
"Solavei intends to introduce residential gas and electric service as its next consumer product and has been negotiating an entry to the energy sector with a person-to-person energy distribution company," the company wrote in its bankruptcy filing.
However: "In spite of its rapid growth and ability to generate substantial revenues, Solavei has encountered some financial challenges," the company wrote. "Solavei initially scaled its business infrastructure to support a larger network of members than was actually needed. In addition, vendor costs, in particular the cost of wholesale mobile services purchased from T-Mobile, exceeded expectations due to higher than anticipated customer usage."
Wuerch said Solavei initially built its business to handle millions of customers, but wasn't able to attract nearly that number.
Further, Solavei said that it initially aimed to pay around 50 percent of its gross profit to customers in the form of commissions. "However, as members found ways to maximize their commissions in ways not anticipated under the commission plan, the company was actually paying some 83 percent of its gross profits to members," the company wrote.
Although Solavei reworked its contract with T-Mobile in the summer of 2013, and it overhauled its commission structure in March of 2013 and again in January of 2014 to bring it closer to the 50 percent payout mark, those actions weren't enough. "As a result of this stress on working capital and liquidity, the company finds it necessary to restructure its existing liabilities as it continues to grow its business. In order to effectuate that restructure, the company filed this case to utilize the breathing room and restructuring opportunities available in Chapter 11," the company wrote.
Solavei said it owes Opus Bank $5 million and T-Mobile $16 million.
Wuerch said that the company's bankruptcy filing so far has been a "positive process." He said the company has a strong reorganization plan and is working through it with the participation of its lenders. But Solavei has lowered its revenue expectations for this year–"There could be some attrition," Wuerch noted. "We're taking a very conservative stance. … We're putting that into our forecast."
He said that the company continues to add members every day, and is still providing service and making commission payments. "We continue to grow," Wuerch said.

Agel Opens Corporate Headquarters in USA

Congratulations to Agel Enterprises, as they have recently opened a new World Headquarters in Pleasant Grove Utah.
Company president, Craig Bradley, said the Agel (pronounced a-jell) product group was founded nine years ago after he learned of a suspension gel technology that allowed for better absorption of nutrients.
“We knew this was a billion dollar idea. It’s been our goal to build a team that can take that idea to fruition,” Craig Bradley said.
The co-founders and also co-CEOs, Jeff Higginson and Jeremiah Bradley, have incorporated family into their business. Jeremiah Bradley and vice president Zach Bradley are brothers and their father is Craig Bradley.
Jeff Higginson's brothers, vice presidents Sam Higginson and Scott Higginson, are additionally on the executive team helping to manage the ever-expanding corporation.

TelexFree Co-Owner Asks Courts To Release $4M For Legal Costs

Facing steep costs to defend himself against a criminal fraud charge,TelexFREE co-owner James Merrill has asked a federal court to release more than $4 million of his money so he can pay his legal fees.
While the Ashland man's attorney's 8-page motion doesn't mention where that money came from, Merrill argues it's the responsibility of U.S. prosecutors to prove the funds are related to their charge against him, which stems from his alleged role atop what they say was an international pyramid scheme.
"Certainly, the government is in no position to challenge the contention that extraordinary funds are necessary to defend the instant prosecution," Boston-based lawyer Robert Goldstein wrote in the Tuesday filing in U.S. District Court in Worcester. "Indeed, at the original bail hearing, the government not only argued this was not 'a typical white-collar case,' but it proceeded to argue that it 'is probably the largest financial fraud being prosecuted in the United States currently…'"
Merrill specifically identifies five accounts he hopes to draw from to fund his defense: two held in Merrill's name containing $79,684.28; two in Merrill's and his wife Kristin Merrill's names containing $4,090,085.97; and one in the name of his cleaning company, Cleaner Image Associates, containing $10,643. All of those accounts were frozen by the Securities and Exchange Commission after the commission filed civil charges against TelexFREE and Merrill in April.
U.S. District Court Judge Nathaniel Gorton last month allowed the release of six of Merrill's other accounts containing a combined $408,464 that also would have been subject to the freeze order. The accounts, which included college savings funds for Merrill's children, IRAs, and a 401k, were not considered by the SEC to be connected to TelexFREE, according to court filings.
Prosecutors from U.S. Attorney Carmen Ortiz's office had not filed a response to Merrill's latest request as of Wednesday afternoon. Brandy Donini-Melanson, a law enforcement coordinator in Ortiz's office, said they plan to oppose his motion before the July 14 deadline, but offered no further comment.
In an amended complaint against TelexFREE and its alleged higher-ups filed last month, the SEC claimed Merrill made more than $3.2 million from the company between September 2012 and December 2013, the largest recorded payment of which was deposited in a joint account belonging to Merrill and his wife on Dec. 27 last year.
The government has accused TelexFREE, which ran its U.S. business out of an office building on Cedar Hill Street in Marlborough, of raising more than $300 million the past two years via an unusually fast-growing multi-level marketing scheme.
In addition to being named in the SEC's civil case against the company, Merrill and fellow TelexFREE co-founder Carlos Wanzeler of Northborough were charged by the Justice Department in early May with conspiracy to commit wire fraud for their alleged role in the operation. Wanzeler is believed by federal investigators to have fled to Brazil
