Regal Ware Moving Into Direct-Selling Mode

A century-old cookware manufacturer based in Kewaskum said it will sign a deal next week to sell products through a firm in China that does direct marketing to consumers, like Amway Corp. or Mary Kay Cosmetics in the United States.
Regal Ware Inc. says its products will be sold through a network of 2 million sales consultants worldwide and 2,500 storefronts in China. The marketer, Joymain Science & Technology Inc., had about $1.5 billion in sales this year and expects $2 billion in 2015, according to Regal Ware.
Joymain's products include household and health items. The company has a U.S. affiliate, JM Ocean Avenue, that sells nutritional supplements and personal care items.
Most of the company's business is in China, where Regal Ware also has sales but now stands to gain a much bigger share of the cookware market.
Regal Ware manufactures its products in Kewaskum and West Bend. More than half of the company's sales are outside of the U.S., said David Lenz, senior vice president of sales and marketing.
Regal Ware says it expects to begin shipping products to Joymain in mid-2015. It was introduced to the Chinese firm through an international business broker.
"We understand the direct-sales business, and Joymain was very attracted to that," said Matt Reigle, a Regal Ware sales director.
Direct-market sales used to be illegal in China. U.S. companies like Amway found themselves in trouble when the Chinese government banned their business model after they already had established a presence in the world's most populous nation.
"The idea that direct selling could be outlawed was incomprehensible to us. This method of marketing was the foundation of Amway's business," Doug DeVos, president of the Michigan-based company, said in the April 2013 issue of Harvard Business Review.
Working with the Chinese government, Amway and other direct marketers convinced the Chinese officials to give them another chance. Now, direct sales are allowed in areas such as cosmetics, health food and health equipment, kitchenware and cleaning products.
But there's a catch, at least with some products. The sales pitch can be made in someone's home, but the transaction must be completed in a retail setting.
"It's a very different way they go to market because you aren't allowed to collect funds in a consumer's home. You have to go to a fixed retail location," Reigle said.
Thus, Joymain has 2,500 storefronts, called customer "experience centers," where its sales representatives conduct business.
Preference for U.S. goods
Friday, a Joymain marketing team was at Regal Ware to produce video that will be shown at the retail locations. This week, some of Joymain's top executives, including Chairman Joe Zhou, will be in Kewaskum to sign a letter of intent to do business with the company.
Joymain is an online retailer in China, as well as a direct marketer.
Regal Ware's products are expensive compared with many cookware items, but that won't be a deterrent to affluent Chinese consumers, said Katy Sinnott, a Wisconsin Economic Development Corp. vice president who has extensive experience in China.
Many Chinese consumers prefer American-made goods because they believe the quality is better and product safety standards, such as the metal in cookware, are higher, Sinnott said.
"There is a perception that if the cost is higher, it must be a better-quality product. And the one thing you see in the Chinese market is that, if a product becomes popular, all of a sudden everybody wants it. There are a lot of fast followers in China," she said.
Regal Ware says it will manufacture its products for Joymain in Wisconsin, even if it would be less expensive to make them in China under their American name.
"One of the true values they're seeking is the U.S. manufacturing. It's a big part of why they're coming to us," Lenz said.
Workforce quandary
But Regal Ware, with about 275 employees, faces a problem in that more than half of its production workforce is near retirement age.
It's a near-term issue to replace dozens of people who could leave the workforce in the next three years, and it's a long-term issue as fewer young people pursue careers in manufacturing.
"This is a story across manufacturing," said Christian Tscheschlok, executive director of the Washington County Economic Development Corp., which helped Regal Ware secure $800,000 in low-interest loans through the county and the City of West Bend to acquire new manufacturing technologies.
It's too early to say whether the Chinese deal will result in more jobs at the company, Lenz said, but the new technologies will result in the need for employees with different skill sets.
"When Regal Ware makes investments in some of this robotic and automated finishing equipment, there will be a need for people to program it, maintain it and do quality assurance on the production line. You have to be able to tweak and reprogram systems on the fly," Tscheschlok said.
County officials say the company has ties to Moraine Park Technical College, and that it will work with the Wisconsin Economic Development Corp. and the state's Department of Workforce Development to create specialized job training programs.
"This will be a test case of how we might be able to collaborate and support a company's transformation. As a family owned company, they have never threatened to leave the state as a way to get help and financial incentives," Tscheschlok said.

For Tupperware Brands Corporation, 2014 has almost been the inverse of 2013.
The stock started 2013 near $62 levels and continued to move higher to end the year at over $90, whereas in 2014 the stock started to decline from the $90 plus levels and currently trades near $64 levels. With 90 percent of its revenues coming from overseas and dollar riding high vs. other currencies, the future also doesn’t seem pleasant for the company.
Tupperware Chairman and CEO, Rick Goings, was on CNBC to discuss how strong dollar is impacting the company and the measures taken by the company to limit its impact.
"Its peaks and valleys with regard to it. We have done regression analysis, we have had a market basket of about 45 countries and when you put it all together, yep, this year, it’s a headache, but sometimes you're a windshield and sometimes you're the bug and over a decade it's been pretty neutral," Goings said.
Emerging markets that Tupperware is focusing on are showing signs of weakness. When Goings was asked the outlook for his company keeping this in perspective, he replied, "Well, I think we've got enough currents that are the wind at our back in these emerging markets. The big populations there, limited earning opportunities for women and in the emerging middle class, I think that it helps you overcome what’s happen with currency or any decline in spending in those kinds of markets."
Shares of Tupperware closed Monday at $63.78, down 1.91 percent.

Herbalife Ltd. (NYSE:HLF) is back in the spotlight yet again, thanks to Bill Ackman’s firm, Pershing Square Capital Management. This month marks two years since the activist investor publicly announced his short of the nutritional supplements company.
Now his firm accuses Herbalife distributors of “routinely making false, dangerous and illegal medical claims to potential customers.
Pershing Square issued a press release making these new allegations this morning. The firm also posted a video about it on its anti-Herbalife website. The video allegedly shows some distributors of Herbalife’s products violating regulations set forth by the Food and Drug Administration and also an injunction issued in California in 1986. That injunction demanded that Herbalife and its distributors stop making the illegal medical claims immediately.
The firm’s representatives reviewed publicly available video that shows Herbalife Ltd. (NYSE:HLF) executives making medical claims about the company’s products as well for more than 30 years. Pershing Square said the multi-level marketing company can’t deny knowing about this practice because high level executives like CEO Michael Johnson also made allegedly misleading statements.
Distributors name several medical benefits
In the video compiled by Pershing Square, distributors name a number of medical issues that Herbalife Ltd. (NYSE:HLF) products can supposedly help with and in some cases possibly cure. Among the problems named are asthma, diabetes, hypertension, bronchitis, migraines, arthritis, weight loss, cellulitis and high cholesterol.
According to the firm, distributors receive training, often at events sponsored by Herbalife itself, to make “false medical claims in order to lure potential requires to purchase large quantities of products and to attempt the Herbalife ‘business opportunity.'”

(NYSE:HLF) describes the injunction Pershing Square mentions as “a legal approval of its business.” The company reportedly made those comments in written arguments in a civil suit it settled recently in California. The Board of Directors of the Direct Selling Association recently approved the membership application of two direct selling companies. The companies are:

Each of these companies completed the minimum one-year pending period required for full membership in the association. During this time, the company’s marketing and business plan were reviewed to ensure compliance with all provisions of DSA’s Code of Ethics.

TelexFree Receiver Stephen Darr Speaks Out

In 35 years of handling bankruptcy cases, Stephen Darr has seen plenty of ugly. He has doled out funds to creditors of an asbestos company and a machine gun maker and to victims of several Ponzi schemes.
But nothing comes close to the scale of the TelexFree Inc. bankruptcy. Never in history has a trustee been responsible for divvying up the assets of a company that prosecutors say defrauded 2.1 million people, from Boston to Uganda.
Darr, an accountant by trade and senior managing director at Mesirow Financial Consulting in Boston, is the court-appointed trustee charged with paying out claims to victims who believe they are owed more than $1 billion in the case. TelexFree was purportedly a long-distance phone company, but in reality generated most of its money by luring a stream of small investors from 2012 until it was shut down earlier this year, according to prosecutors.
Many Brazilian immigrants risked — and lost — large portions of their savings, in hopes of reaping the generous returns that were promised.
“I feel very sympathetic toward these people,’’ Darr said. “They lost a lot of money. They deserve to get it back, and it’s my job to get it back to them as quickly and as fairly as possible.”
He may have the toughest job in Boston right now: It will be virtually impossible to satisfy everyone.
Darr gets a half-dozen heart-rending e-mails a week from victims around the world who are wondering how and when they might get their money back. A professor from Ghana thanked him for his work and said she hoped for God’s intervention. A 21-year-old Framingham woman said her mother had fallen into a depression over her TelexFree losses. A man from Madeira Island, off the coast of Morocco, offered to show Darr around if he ever travels there.
TelexFree filed for bankruptcy protection in April, just before state and federal authorities raided its Marlborough office and filed civil fraud charges against the firm. Carmen Ortiz, the US attorney in Massachusetts, seized $150 million worth of assets from the company, including the cars and boats of one of its owners.
In Brazil, where TelexFree originated and was shut down in 2013, the authorities have frozen $350 million.
Basic math would mean each victim gets $238. But it won’t be that simple. Darr and his team must establish a claims process that verifies whether each person had a TelexFree account and how much money was lost while ensuring that a claim paid in Brazil is not also submitted in Boston. A bankruptcy judge in Worcester must approve the process in advance.
“There’s a lot of complexity to this,’’ Darr said, dramatically understating the case.
James Merrill - Former CEOAnd without a guilty verdict, there is no meaningful money for Darr to distribute. TelexFree’s two US-based owners are facing trial on criminal fraud charges. One of them, Carlos Wanzeler, fled to his native Brazil when the alleged scam collapsed, and is a fugitive, according to prosecutors. The other, James Merrill of Ashland, is home with a GPS tracking bracelet and a curfew. Both men deny the charges but could spend up to 20 years in prison if found guilty.
In the meantime, the TelexFree victims must wait.
Darr, 68, works with two computer screens and a laptop on his desk, accounting manuals on his shelves, and a view of the harbor from his modest space in a Franklin Street office tower.
He is a Quincy native and a Boston College graduate, with an MBA from the University of Chicago and a penchant for fishing for salmon in northern Canada. He has spent his career in Boston, working for the accounting giant KPMG before it spun off Mesirow, his current employer.
He is well-known in Boston bankruptcy circles. Among other cases, he has handled claims related to feeder funds for Bernard Madoff. He is now serving as financial adviser to the trustee in the New England Compounding Center bankruptcy case, which is distributing a proposed $135 million to victims of the Framingham pharmacy involved in a 2012 meningitis outbreak.
Bankruptcy rarely produces happy stories for anyone. TelexFree is especially distressing because of the sheer number of victims, Darr said, many of them working people who lost significant savings. Some don’t speak English, and a portion are undocumented, so they are fearful of drawing attention to themselves.
“They’re salt of the earth, hard-working folks,’’ Darr said. “Many of the people don’t understand that it really wasn’t a business, that everything that was generated was really smoke and mirrors.”
In US Bankruptcy Court in Worcester, there were victims who pleaded with Judge Melvin S. Hoffman to let the trustee reopen the business, Darr said, as if there were a business to reopen.
Darr and two members of his Boston staff are combing through TelexFree’s data, and its accounting computer program, which runs in Portuguese and includes 1.3 billion customer transactions. Darr said he has subpoenaed records from banks, lawyers, and accountants and pored over about 200,000 documents to decipher how TelexFree operated and gathered money.
Ross Martin, a bankruptcy attorney and a partner at Ropes & Gray in Boston, said Darr is respected in his field.
“The key thing in some of these cases is a combination of accounting and information technology specialists, because they have to go in and look at the computer systems and look at the data and the contracts and piece all that together,’’ Martin said.
Darr’s office has received 29,000 paper TelexFree claims, many of them from early on in the case. But he is discouraging people from sending any more documents and wants the entire process to be electronic, for cost and efficiency’s sake.
“It’s too voluminous to process,’’ he said. Just to handle a hard-copy claim, photocopy it, and turn it into an online document costs about $10 a claim, he said.
“If you’ve got a million claims, that’s $9 million or $10 million” in expenses — and less money for victims. As in other bankruptcy cases, Darr and his colleagues will be paid out of the same pot of money as the victims.
Darr’s staff and a law firm he hired, Murphy & King, can earn up to $550 an hour for their work on the case. Darr himself can earn a maximum of 3 percent of the total funds distributed to victims and creditors. A judge must approve any of those payments.
Darr estimated that, at 10 minutes per claim, it would take eight years for one person working full time to process 100,000 claims. Instead, he envisions building a website that allows claimants to fill out an online form and get a quick response on whether they are eligible to receive money, and an estimate of how much that would be.
Nadine Cohen, head of the consumer rights unit at Greater Boston Legal Services, which provides legal assistance to low-income people, has been working with community groups like the Chelsea Collaborative to help provide information to TelexFree victims.
“The number of people is just overwhelming,’’ Cohen said. “Our interest is making sure that the lower-income people who really were at the bottom of the whole thing and never got any money back — to make sure that they’re filing claims.’’
She also is working with prosectors and Darr’s office to make sure undocumented people who were victims — sometimes losing their life savings on TelexFree — can submit claims without fear of reprisal.
“We want to make sure that everyone’s rights are protected,’’ Cohen said. “I think Stephen Darr has been very sensitive to these issues.”
In the end, Darr will have to oversee a process that treats everyone equally. A certified public accountant who asks for help getting $100,000 back is no higher in the pecking order than 60,000 South African victims recently brought to his attention by their lawyer, he said.
“We have to go through the process. I can’t play favorites,” Darr said. “I’ve got a duty to do.”
He said prosecutors share his concern for compensating victims as quickly and equitably as possible. “But they also have the concern of putting the bad guys in jail.”

But nothing comes close to the scale of the TelexFree Inc. bankruptcy. Never in history has a trustee been responsible for divvying up the assets of a company that prosecutors say defrauded 2.1 million people, from Boston to Uganda.
Darr, an accountant by trade and senior managing director at Mesirow Financial Consulting in Boston, is the court-appointed trustee charged with paying out claims to victims who believe they are owed more than $1 billion in the case. TelexFree was purportedly a long-distance phone company, but in reality generated most of its money by luring a stream of small investors from 2012 until it was shut down earlier this year, according to prosecutors.
Many Brazilian immigrants risked — and lost — large portions of their savings, in hopes of reaping the generous returns that were promised.
“I feel very sympathetic toward these people,’’ Darr said. “They lost a lot of money. They deserve to get it back, and it’s my job to get it back to them as quickly and as fairly as possible.”
He may have the toughest job in Boston right now: It will be virtually impossible to satisfy everyone.
Darr gets a half-dozen heart-rending e-mails a week from victims around the world who are wondering how and when they might get their money back. A professor from Ghana thanked him for his work and said she hoped for God’s intervention. A 21-year-old Framingham woman said her mother had fallen into a depression over her TelexFree losses. A man from Madeira Island, off the coast of Morocco, offered to show Darr around if he ever travels there.
TelexFree filed for bankruptcy protection in April, just before state and federal authorities raided its Marlborough office and filed civil fraud charges against the firm. Carmen Ortiz, the US attorney in Massachusetts, seized $150 million worth of assets from the company, including the cars and boats of one of its owners.
In Brazil, where TelexFree originated and was shut down in 2013, the authorities have frozen $350 million.
Basic math would mean each victim gets $238. But it won’t be that simple. Darr and his team must establish a claims process that verifies whether each person had a TelexFree account and how much money was lost while ensuring that a claim paid in Brazil is not also submitted in Boston. A bankruptcy judge in Worcester must approve the process in advance.
“There’s a lot of complexity to this,’’ Darr said, dramatically understating the case.
James Merrill - Former CEOAnd without a guilty verdict, there is no meaningful money for Darr to distribute. TelexFree’s two US-based owners are facing trial on criminal fraud charges. One of them, Carlos Wanzeler, fled to his native Brazil when the alleged scam collapsed, and is a fugitive, according to prosecutors. The other, James Merrill of Ashland, is home with a GPS tracking bracelet and a curfew. Both men deny the charges but could spend up to 20 years in prison if found guilty.
In the meantime, the TelexFree victims must wait.
Darr, 68, works with two computer screens and a laptop on his desk, accounting manuals on his shelves, and a view of the harbor from his modest space in a Franklin Street office tower.
He is a Quincy native and a Boston College graduate, with an MBA from the University of Chicago and a penchant for fishing for salmon in northern Canada. He has spent his career in Boston, working for the accounting giant KPMG before it spun off Mesirow, his current employer.
He is well-known in Boston bankruptcy circles. Among other cases, he has handled claims related to feeder funds for Bernard Madoff. He is now serving as financial adviser to the trustee in the New England Compounding Center bankruptcy case, which is distributing a proposed $135 million to victims of the Framingham pharmacy involved in a 2012 meningitis outbreak.
Bankruptcy rarely produces happy stories for anyone. TelexFree is especially distressing because of the sheer number of victims, Darr said, many of them working people who lost significant savings. Some don’t speak English, and a portion are undocumented, so they are fearful of drawing attention to themselves.
“They’re salt of the earth, hard-working folks,’’ Darr said. “Many of the people don’t understand that it really wasn’t a business, that everything that was generated was really smoke and mirrors.”
In US Bankruptcy Court in Worcester, there were victims who pleaded with Judge Melvin S. Hoffman to let the trustee reopen the business, Darr said, as if there were a business to reopen.
Darr and two members of his Boston staff are combing through TelexFree’s data, and its accounting computer program, which runs in Portuguese and includes 1.3 billion customer transactions. Darr said he has subpoenaed records from banks, lawyers, and accountants and pored over about 200,000 documents to decipher how TelexFree operated and gathered money.
Ross Martin, a bankruptcy attorney and a partner at Ropes & Gray in Boston, said Darr is respected in his field.
“The key thing in some of these cases is a combination of accounting and information technology specialists, because they have to go in and look at the computer systems and look at the data and the contracts and piece all that together,’’ Martin said.
Darr’s office has received 29,000 paper TelexFree claims, many of them from early on in the case. But he is discouraging people from sending any more documents and wants the entire process to be electronic, for cost and efficiency’s sake.
“It’s too voluminous to process,’’ he said. Just to handle a hard-copy claim, photocopy it, and turn it into an online document costs about $10 a claim, he said.
“If you’ve got a million claims, that’s $9 million or $10 million” in expenses — and less money for victims. As in other bankruptcy cases, Darr and his colleagues will be paid out of the same pot of money as the victims.
Darr’s staff and a law firm he hired, Murphy & King, can earn up to $550 an hour for their work on the case. Darr himself can earn a maximum of 3 percent of the total funds distributed to victims and creditors. A judge must approve any of those payments.
Darr estimated that, at 10 minutes per claim, it would take eight years for one person working full time to process 100,000 claims. Instead, he envisions building a website that allows claimants to fill out an online form and get a quick response on whether they are eligible to receive money, and an estimate of how much that would be.
Nadine Cohen, head of the consumer rights unit at Greater Boston Legal Services, which provides legal assistance to low-income people, has been working with community groups like the Chelsea Collaborative to help provide information to TelexFree victims.
“The number of people is just overwhelming,’’ Cohen said. “Our interest is making sure that the lower-income people who really were at the bottom of the whole thing and never got any money back — to make sure that they’re filing claims.’’
She also is working with prosectors and Darr’s office to make sure undocumented people who were victims — sometimes losing their life savings on TelexFree — can submit claims without fear of reprisal.
“We want to make sure that everyone’s rights are protected,’’ Cohen said. “I think Stephen Darr has been very sensitive to these issues.”
In the end, Darr will have to oversee a process that treats everyone equally. A certified public accountant who asks for help getting $100,000 back is no higher in the pecking order than 60,000 South African victims recently brought to his attention by their lawyer, he said.
“We have to go through the process. I can’t play favorites,” Darr said. “I’ve got a duty to do.”
He said prosecutors share his concern for compensating victims as quickly and equitably as possible. “But they also have the concern of putting the bad guys in jail.”

4 Things Amway Learned On Survey Of Over 40,000 On Entrepreneurship

For the past five years, Amway has been gathering data on entrepreneurs and what makes them different from other worker bees.
In the recently released 2014 Amway Global Entrepreneurship Report, the Michigan company surveyed more than 40,000 people to gain insight about the state of self-employment around the world. This year's survey questions explored the connection between education and entrepreneurship.
The report is intended to advance the discussion on entrepreneurship and lead to a deeper understanding of what can be done to encourage and better prepare more people around the world to start businesses of their own, said Amway Chairman Steve Van Andel.
"Entrepreneurs play an important role in growing economies," said Van Andel in a statement. "They create jobs, encourage competition and help communities grow and flourish. As the business environment has changed through the years, so have the reasons people decide to venture out on their own.”

The world’s biggest direct sales company credits its success to the entrepreneurial spirit of its more than 3 million “Amway business owners” who sell the company’s vitamin supplements, cosmetics and household products. The privately owned companyreported 2013 sales of $11.8 billion.
The first survey launched in 2010 as the Amway European Entrepreneurship Report, then expanded worldwide in 2013 to encompass 24 countries. This year's report reaches across 38 nations, with face-to-face and telephone interviews conducted with 43,902 men and women ages 14 to 99, who were not affiliated with Amway.
Here are four takeaways from the report:
• 1. Entrepreneurs can be made. The majority of respondents – 63 percent – reported that they believe entrepreneurship can be taught. That belief was strong among those under 35, with 70 percent of this age group saying self-employment is attainable for everyone. There wasn’t a gender divide on this topic, with majority of men and women – 64 percent and 63 percent, respectively – agreeing that entrepreneurship is more nurture than nature.
• 2. Education is key. What are the most crucial aspect of entrepreneurship education? Topping the list was "basic business skills," according to 42 percent of respondents. Next was "leadership and management skills" and "entrepreneurship in practice," which garnered the nod from 37 percent of respondents. Close behind was schools and secondary education, special start-up programs and universities or higher education.
• 3. Positive attitude. On average, 75 percent of respondents have positive attitudes toward entrepreneurship, reflecting an increase of 4 percent over past year’s report. Those under 35 years were the most optimistic, at 80 percent. Entrepreneurial potential remained high as well, with two out of five respondents, or 42 percent, saying they can imagine starting a business. Findings showed a correlation between these two factors: In countries where people were more positive about entrepreneurship, a higher percentage can also imagine starting a business. However, only 9 percent of global respondents are currently self-employed, creating an entrepreneurial gap of 33 percent.
• 4. Freedom is motivation. When asked why they wanted to be entrepreneurs, 46 percent said "independence from an employer, being my own boss," while 43 percent identified "self-fulfillment, possibility to realize own ideas." Independence rather than wealth was more important younger respondents, ages 14 to 34. Researchers noted there was a variation in responses by country: the lower a country's economic output per capita, the less important independence becomes as a driver for entrepreneurship.
Younger generations, regardless of what countries they call home, are most optimistic about entrepreneurship, said Amway President Doug DeVos.
"The report points to their great potential,” DeVos said in a statement. “We must use this key insight to continue fostering the entrepreneurial spirit and create a global culture that unleashes the capabilities of younger people."
The survey was conducted for Amway by Isabell M. Welpe, chairwoman of Strategy and Organization at Technische Universitat Munchen. Fieldwork was completed by the Gesellschaft fuer Konsumforschung Nuremberg from April through July 2014.

Avon $135 Million Fine For Bribing Chinese Officials

Avon Products Inc. (AVP)’s Chinese subsidiary bribed local officials with Gucci bags and foreign travel in order to sell products directly to the nation’s consumers, the U.S.A. said as the company ended a six-year federal investigation with a guilty plea and $135 million in fines.
Avon is also subject to a deferred prosecution agreement requiring it to adopt “rigorous” internal controls and avoid further violations for three years before the case will be dropped. The plea, which includes an outside monitor, was announced at a hearing today in Manhattan federal court.
The world’s largest door-to-door seller of cosmetics had said in May it would settle the probe. Its Chinese unit pleaded guilty to conspiring to violate U.S. anti-bribery law by falsifying records of a four-year scheme to pay off Chinese authorities, who ended a direct sales ban in 2006.
“For years in China it was ‘Avon calling,’ as Avon bestowed millions of dollars in gifts and other things on Chinese government officials,” said Manhattan U.S. Attorney Bharara today. “Avon China was in the door-to-door influence-peddling business and for years its corporate parent, rather than putting an end to the practice, conspired to cover it up.”
Avon China provided gifts and entertainment to Chinese officials, “and falsified these transactions on its books and records,” Avon general Counsel Jeff Benjamin told U.S. District Judge George Daniels. “Avon China’s conduct in this regard was wrong.”

Three Executives

Three Avon China executives and two lawyers paid at least $8 million in gifts and other gratuities to local authorities to circumvent China’s direct sales ban, the government said. The gifts allegedly included meals, expenses and travel, as well as the “personal luxury items like designer wallets, bags or watches.” In return, Avon China obtained direct sales licenses and favorable judicial treatment.
Included was an 18-day sightseeing trip in 2006 for four Chinese officials, with visits to cities including New York, Montreal, Las Vegas and Washington, the U.S. said. Avon China employees spent hundreds of dollars on accessories, such as an $800 Gucci bag, and $8,100 on meals and entertainment in 2006.
The payments were hidden on company records as “business entertainment,” “employee travel” or “public relations business entertainment,” according to the government.
The Securities and Exchange Commission filed a parallel lawsuit today, describing how Avon allegedly obtained the first sales license in March 2006 after it “provided over $100,000 in cash or things of value to government officials.”

Potential Wrongdoing

New York-based Avon learned of potential wrongdoing at the subsidiary in late 2005, the SEC said, but proposed reforms were never put in place.
Avon became one of the first companies to obtain a license in China to sell products directly to consumers -– the cornerstone of its business model — when the sales ban was lifted.
By July 2006, the company had hired more than 114,000 door-to-door salespeople in China. Then-Chief Executive Officer Andrea Jung said at the time the company viewed the country as a potential $1 billion market. Sales in China surged 28 percent to $67.2 million in the company’s fourth quarter that year.
Avon again began looking into allegations of improper payments in China in mid-2008, sparked by a whistle-blower’s letter to Jung. The law firm Mayer Brown LLP was brought in to conduct the probe, and the company reported the allegations to the Justice Department and SEC, Avon said in October 2008.

Avon Disclosure

By 2009, Avon disclosed the probe had expanded beyond China and also involved “use of third-party vendors and consultants,” “joint ventures and acquisitions, and payments to third-party agents,” according to a company filing.
In May 2011, Avon fired four executives connected to the bribery inquiry and the following year named a new head of its China unit.
The New York-based company spent at least $344 million on its internal investigation, more than twice as much as Weatherford International Ltd. (WFT), a Geneva-based oil services company that resolved a U.S. probe last year for $253 million.
In a 2010 meeting, government officials took the unusual step of questioning why Avon’s legal costs were so high, according to two people familiar with the meeting. Avon said its legal bills had ballooned in part because the company operated in more than 100 countries without consolidated transaction records, according to one of the people.

The opportunity was launced in July 2014, Their Freedom Fighters Facebook group had 11,000+ members and an estimated 25,000+ marketers invested in the system.
Schultz and Moore closed down their operations in an unexpected move, leaving numerous affiliates in the dust. The reason seems to be a possible bankruptcy, so the owners decided not to pay out affiliates anymore, take the money and "jump ship".
According to their website:
"The Freedom Fighters Network is a product that has all the marketing system with all of the pieces (capture page, sales page, one time offers and followup) already put together for you including a traffic source. The marketing system funnels people thru and converts them to sales for you.

Dutch Justice Closes Down Pyramid Game PlanB4You

Justitie legt voor miljoenen beslag op rekeningen PlanB4you uit Den Bosch om piramidespel
DEN BOSCH – Justitie heeft beslag gelegd op de bankrekeningen van PlanB4you en van de directeur. Dat bedrijf, dat voor kort een kantoor in Den Bosch had, zou zich voor 2,5 miljoen euro schuldig hebben gemaakt aan oplichting en witwassen.
De FIOD, de opsporingsdienst van de Belastingdienst, doet strafrechtelijk onderzoek naar het bedrijf. Het vermoeden bestaat dat PlanB4you zich schuldig maakt aan een piramidespel, dat ook wel ponzifraude heet. Hierbij betaalt het bedrijf deelnemers met de belegging van de inleg van nieuwe klanten. De oprichter eigent zich dan meestal een bijzonder hoog rendement toe.
'Makkelijk geld verdienen'
Via YouTube en bijeenkomsten probeert PlanB4you nieuwe klanten te strikken. Het bedrijf houdt ze daarbij voor dat ze makkelijk geld kunnen verdienen door dagelijks tien keer op advertenties te klikken. Daarnaast zouden potentiële klanten makkelijk geld kunnen verdienen door anderen over te halen deel te nemen aan het project.
"Deze deelnemers komen dan als het ware onder de aanbrenger te hangen wat weer extra inkomen oplevert voor de aanbrenger. Naast het klikken op de banners heeft PlanB4you ook nog een webshop waar goederen tegen 'hoge' kortingen kunnen worden aangeschaft", aldus justitie.
Invallen in Nederland en andere landen
Voor het inleggen van geld krijgen de leden van PlanB4you een account met een fictief bedrag terug. Dit terwijl de directeur het geld zou gebruiken voor de aankoop van dure auto's, zegt justitie.  
Zeker 20.000 mensen in onder meer Nederland, Duitsland, België, Slovenië en Italië hebben de afgelopen maanden geld ingelegd bij PlanB4you. De FIOD viel bij een internationale actie in augustus in totaal zes gebouwen in Nederland en België binnen, waaronder een bedrijf in Den Bosch.
Ook dure auto's in beslag genomen
Behalve de bankrekeningen nam de FIOD ook zeven auto's in beslag. Het gaat onder andere om een Maserati, Jeep en Porsche. Door de beslaglegging wil de FIOD voorkomen dat de directeur het geld kan 'wegmaken'.

According to an email the the distributors, JM Premium will close doors.
"To all JD Premium Independent Business Owners and Preferred Customers.
It is with great regret and sorrow that I am writing you this letter today.
As of Jan. 25th 2015, JD Premium will no longer be acting as a direct sales company. All commissions and bonuses will be paid through this time period.
This letter is to serve as the thirty-day notice as required in the policy and procedures of JD Premium LLC. After Jan. 25, 2015, JD Premium will continue to sell product at a reduced price, as there will be no commissions paid on sales of any product.
Sales will continue while supplies last. After Jan. 25th anyone wanting to purchase product can do so by going towww.jdpremium.com and purchase at the lower retail price as well as through the corporate office. I would encourage IBO's to access their back office during this time to collect any information that might be needed to prepare their 2014 taxes.
All access to the back office will end as of Jan. 25th 2015. It is required that all active IBO's have their $15 annual renewal fee as well as their tax ID current in order to receive their final commission payment. The enroller's bonus pool will be paid through Nov. 2014.
Any rank advancement bonus will be paid through Jan. 25, 2015. I would like to take this time to thank the many dedicated people for their valued time in trying to build their business. I value the many friendships that I have had the opportunity to develop over the past years, and I wish only the best for you and your families".
