Nu Skin Announces Launch Of Epoch Essential Oils

Fourth Quarter Financial Highlights
  • Total revenues increased 85% to $35.4 million, compared to $19.1 million in the fourth quarter last year.
  • Operating income was $6.1 million, up 266% compared to $1.7 million in the fourth quarter last year.
  • Net income was $5.8 million, or $0.45 per diluted share, compared to $1.6 million, or $0.14 per diluted share, in the fourth quarter last year.
Full Year Financial Highlights
  • Total revenues were $124.6 million, up 137% compared to $52.5 million last year.
  • Operating income was $20.8 million, up 393% compared to $4.2 million last year.
  • Net income was $20.4 million, or $1.61 per diluted share, compared to net income of $4.1 million, or $0.36 per diluted share last year.
Subsequent to December 31, 2014, the Company completed the requirements necessary to list its shares of common stock on the Nasdaq Capital Market. Trading on the Nasdaq Capital Market began on Tuesday, February 17, 2015.
"We capped off 2014 with another strong quarter, and delivered triple-digit sales growth, solid margin expansion and a more than four-fold increase in earnings per share for the year," commented Chris Sharng, President of Natural Health Trends Corp.

ACN, the world’s largest direct seller of telecommunications, energy and essential services for home and business, held their annual International Convention in Charlotte, North Carolina, February 13-15.
Thousands of ACN Independent Business Owners from all over across the globe flocked to Charlotte for three days of training, motivation and networking, including recognition of top producers.
Special guests, multi-billionaire Donald Trump and Publisher of SUCCESS Magazine Darren Hardy were also in attendance, offering invaluable business insight from the main stage.
The ACN reviews are in and clearly Charlotte was also a winner, as its economy was greatly impacted by the influx of ACN IBOs to the Queen City. With hotels, restaurants and stores teeming with attendees, the city received a shot in the arm — with the event bringing in approximately six million dollars to the local economy.
Of course, the ultimate winner here was kids. During the Charlotte event, and all their events worldwide, the company collected donations for the local chapter of the Ronald McDonald House and matched donations dollar-for-dollar. The donations go toward providing a home-away-from-home for families facing challenging times.

doTERRA Donates $5M To Farm Up Jamaica’s Manchester Project

Three weeks ago, over 600 tourists participated in planting ten acres of ginger in the community of Haddo, in Westmoreland. The project was a partnership between Farm Up Jamaica, a non-profit organisation registered in New York and doTERRA, a Utah-based organisation.
doTERRA’s Healing Hand Foundation has further donated J$5M to Farm Up Jamaica to enable improvements with an existing organic onion farm in New Forest, South Manchester.
“doTERRA’s donation will go towards creating a solar powered drying facility in Manchester that will also accommodate students who will learn hands-on skills there”, co-founder and executive vice president of doTERRA, Gregory Cook told The Jamaica Gleaner.
The facility will be used for processing and adding value to agricultural products, including drying capabilities. The building will be a ‘green’ project, so earth bags will be used to build the facility, and this is an inexpensive and efficient way to create the structure.
Crops like onion, thyme, ginger and peppers will be dried at this facility. Dormitory-type living quarters will be built on the second floor to house agricultural students who are in residence.
During peak harvesting season, the facility will be in operation 24 hours a day, and it will be made available to local farmers in exchange for a small user fee of 5% of their sales. The user fee will cover costs and keep the facility operational. All transactions will be documented and transparent to ensure fair prices for all concerned.
“I am naturally very excited about this new development as it will enable us to do a lot more,” founder and chairman of Farm Up Jamaica Neil Curtis told the Gleaner. “We still have to raise an additional J$1M more to bring the project to completion, but we are well on the way”, Curtis added.
Farm Up Jamaica’s farming and food processing experts will become part of a support and training system to help local farmers transform their crops into badly needed revenue. Ultimately, these transformations and enhancements will move rural farming communities forward.

LiveSmart 360 In Trouble?

LiveSmart 360 the Sarasota, Florida, USA based direct selling company appears to be experiencing significant challenges. It seems as if there may be a lot of similarities between LiveSmart 360 and WakeUpNow.
Leaders not paid, vendors not paid, employee lay-offs? Over the last month I have received numerous emails stating this and more by very concerned LiveSmart 360 distributors.
It seems that Chuck Hallberg, the present CEO, took over in Early 2014 replacing Founder Mark McCool. Contrary to the statement provided to us by the Company, this transition was not peaceful.  I'm told that Hallberg entered the Company offices in December 2013 with security escort and forced McCool from the offices and ultimately to give up his shares in the Company.  
Even more surprising is that shortly before the 2015 new year, Hallberg announced that VP of Sales and Master Distributor Steven Thompson was selling his position to the company in a mutually agreeable transaction. 
My sources say that the truth of the matter is Steven Thompson had no desire to leave the Company, but rather he was forced out by Hallberg. When I requested a statement from Steven Thompson he informed me that he preferred not to comment, other than to say his departure was not amicable. This sounds oddly familiar with the McCool situation.  
LiveSmart 360 then announced in January Onyx Coale joined the Company in what I am told was a corporate position, not in the field, and presumably to fill the gap left by Steven Thompson. Less than 45 days later it was abruptly announced Coale would no longer be working with the Company. While her departure was downplayed, Onyx Coale was heavily promoted to the leaders as an integral player in the Company's future and I question what prompted her sudden exit.
More Distributors not paid: also concerning is the reports I am receiving about other LiveSmart 360 distributors not receiving commissions. For example, two different top leaders apparently are in dispute with the Company over commissions being held and are purportedly on the verge of pursuing formal legal remedy, while earlier this week I received information that one of the company's largest Italian leaders had been forced out.  
Other obligations not paid: we have received complaints from multiple vendors stating they are not being paid by LiveSmart 360. Online searches have revealed at least one lawsuit by what appears to be a previous vendor named Alternative Labs over the production of the Manna meal replacement shake.       
Layoffs: Over the last 30 days, a number of key Employees have been laid off, with the latest round of layoffs happening this past Thursday, March 5th.  
Operations in foreign markets: one of the most common complaints I've received from current and former Distributors surrounds operations in foreign markets. According to these sources, the Company is providing insufficient support to their international markets and is knowingly running illegitimate operations in multiple foreign Countries.
For example, in the EU the Company allows Distributors to join from across Europe, yet two years after initially expanding into the region only a few countries are completely registered and open. In spite of this, the Company is touting yet more international expansion on it's website.
When distributors do business with a company that is not completely registered, they take on personal liability and open themselves up to fines, restitution and possibly more. It would be advisable to anyone considering LiveSmart 360 to do your due diligence and make sure all necessary filings, product registrations and licenses are complete. To often, Companies open international markets as sources to generate cash without making the proper investment to do business correctly.  
Funding cut-off: according to sources, Chuck Hallberg has informed Management that no additional funding for the Company will be provided. If true, this certainly explains a lot.   
More changes coming?  it's rumored that other key figures in the Company are not happy with the recent happenings and may be on the verge of departure.  
In summary, all signs point to a Company in trouble.  
At the very least, there are many questions surrounding the real status of LiveSmart 360 and it's future….

QNET, a company of Asian heritage and a part of the US$178.5 billion global direct selling industry, has entered the buoyant direct selling sector in Myanmar, expected to elevate standards of living by garnering the spirit of entrepreneurship amongst non-business background individuals
The launch of an Agency office today marks the formal introduction of a local customer service center for QNET in Myanmar.
“QNET firmly believes that there is nothing more empowering to individuals than the financial freedom that a career in the direct selling industry provides, and we believe the people of Myanmar, with their ambition and strong sense of entrepreneurship, will appreciate the quality consumer products we sell and the business opportunities we offer.” said Mr. Stevenson Charles, QNET’s Regional General Manager, South East Asia.
The company, optimizing on the usage of the e-commerce platform, has contracted with local
company, Kyi Min Brothers Group of Companies, to provide local customer support to people in Myanmar and display the QNET products. QNET, based on its projected plan, is optimistic that the direct selling industry in Myanmar will be as progressive as is trending in other emerging economies.
With direct selling gaining popularity, Myanmar is seen to have huge potential to become a leading market in the South East Asian region. Additionally, QNET, which provides a wide range of products, is expanding its business in the Asean Economic Community (AEC) as the QNET business in the region continued to show exemplary growth, particularly in Indonesia, Vietnam, Malaysia and countries are opening up to a free market like Myanmar. 
With the AEC arrangement coming up this year, QNET sees no boundaries to its growth opportunities and potential. The AEC is targeted to be launched at the end of 2015, with the aim of grouping Asean countries into a single economic block.
“The AEC 2015 is a game changer as it will enhance business facilitation and connectivity within ASEAN. Our objective in Myanmar is similar to that of the AEC which is to realize a community that is politically cohesive, economically integrated, socially responsible and a truly people-oriented, and people-centered,” added Stevenson.
Globally, the World Federation of Direct Selling Associations (WFDSA), which QNET is affiliated through the Direct Selling Associations of Singapore, Malaysia and the Philippines, reported that global retail sales from direct selling in 2013 grew 8.1 percent, year-on-year, rising to US$178.5 billion.
QNET Myanmar launch
QNET’s new agency office is located in the heart of Yangon business district with the following address: No 206 – B, La Pyae Wunn Business Centre, Dagon Township. The Yangon office will act as the main support center for QNET in Myanmar and will provide consultations about the company, products, after-sales service and customer support for distributors from Monday to Friday 9:30 am – 5:30 pm.
Additionally, the local agency will provide training for QNET’s distributors known as Independent Representatives (IRs) and will facilitate educative coaching sessions to ensure all IRs are equipped with sufficient product knowledge and well-trained on business ethics of network marketing and the QNET compensation plan. Currently, there are about 2,000 registered IRs of QNET in the country – mainly in Yangon, Mandalay, and Pagan cities.

Nature’s Sunshine 2014 Sales $366.4 million

Nature's Sunshine Products, Inc. (Nasdaq:NATR), a leading natural health and wellness company engaged in the manufacture and direct selling of nutritional and personal care products, reported its financial results for the fourth quarter and full year ended December 31, 2014, and declared a quarterly cash dividend of $0.10 per share.
"Throughout 2014, we made progress against our strategy to address mega-trend health problems through science-based innovation and to drive distributor adoption, leadership and engagement," commented Gregory L. Probert, Chairman and Chief Executive Officer.
"However, fourth quarter revenues and operating income were adversely affected by significant sales declines in NSP Russia, Central and Eastern Europe, due to heightened political unrest, armed conflict and local currency devaluations. Operating income from our international businesses was also reduced by the strong dollar."
"Positive contributions in the fourth quarter were led by Synergy South Korea, Japan and Europe. Synergy Europe achieved a second consecutive quarter of growth driven by re-engaged leadership and strong execution, and momentum from Synergy's global summit. NSP U.S. and Canada also achieved a second consecutive quarter of net sales growth with new sales programs, increased adoption of IN.FORM and retail sales tools."
Mr. Probert continued, "We have made significant progress in the implementation of our multi-brand, multi-channel go-to-market strategy in China in partnership with Fosun Pharma, one of the country's leading vertically integrated pharmaceutical companies. Paul Noack, the former Managing Director of the Asia Pacific Region for Herbalife, is our new President of China and New Markets, and has recruited a new Managing Director of China and other key experienced direct-selling and consumer products executives. We expect to enter the China market in late 2015."

For the Fourth Quarter of 2014:
  • Net sales revenue decreased 7.1 percent to $86.7 million, compared to $93.3 million in the fourth quarter of 2013. In local currencies, net sales revenue decreased by 4.9 percent. Net sales revenue growth in the Synergy segment was offset by declines in the NSP Russia, Central and Eastern Europe segment. Excluding these declines, the remaining business segments grew by 2.4 percent year-over-year in local currency.
     
  • Selling, general and administrative expenses decreased 7.2 percent to $30.6 million, compared to $33.0 million in the fourth quarter of 2013. The decrease was primarily due to a decrease in variable costs in NSP Russia, Central and Eastern Europe coupled with reduced expenses associated with the combination of NSP Japan with Synergy Japan and the transition of NSP United Kingdom to an export market. The reduction in SG&A expenses was partially offset by $1.1 million in start-up costs for the China joint venture.
     
  • Operating income decreased 64.4 percent to $0.8 million, compared to $2.3 million in the fourth quarter of 2013. The decrease was primarily due to the decrease in net sales revenue and an increase in cost of sales as a percentage of net sales due to product promotions, the devaluation of foreign currencies relative to the U.S. dollar, and increased importation fees (customs and duties) related to higher transfer prices within some of the Company's foreign markets.
     
  • Adjusted EBITDA, defined here as net income from continuing operations before taxes, depreciation, amortization and other income adjusted to exclude share-based compensation expense, decreased 38.7 percent to $2.6 million, compared to $4.3 million in the fourth quarter of 2013.
     
  • Net income from continuing operations was $0.9 million, or $0.05 per diluted common share, compared to $1.8 million, or $0.11 per diluted common share in the fourth quarter of 2013.
     
  • In November 2014, the Company ceased its operations in Venezuela due to the difficulties and uncertainties related to import controls, difficulties associated with repatriating cash and high inflation. The Company incurred a loss from discontinued operations of $5.0 million, or ($0.25) per diluted common share in the fourth quarter of 2014.
     
  • Active Managers worldwide were 13,400 and active Distributors and customers worldwide were 292,600 as of December 31, 2014, compared to 16,400 and 332,400, respectively, in the fourth quarter of 2013. The number of independent Managers, Distributors and customers decreased primarily in Ukraine and Russia. We are continuing to evaluate various options to keep our distributor base in Ukraine and Russia engaged. 
For the Full Year of 2014:
  • Net sales revenue decreased 0.9 percent to $366.4 million, compared to $369.8 million in 2013. In local currencies, net sales revenue decreased by 0.5 percent.
     
  • Selling, general and administrative expenses increased 1.3 percent to $119.9 million, compared to $118.4 million in 2013. The increase was primarily related to $2.2 million in start-up costs for the China joint venture and $1.1 million associated with the potential acquisition of a company in an alternative distribution channel. These increases were partially offset by one-time costs incurred in 2013 related to the resignation of the former Chief Executive Officer and a five-year customs audit assessment in the Synergy South Korea market.
     
  • Operating income decreased 19.2 percent to $19.0 million, compared to $23.6 million in 2013. The decrease was primarily due to the decrease in net sales revenue, the increase in selling, general and administrative expenses, and an increase in volume incentive expense due to product sales mix between operating segments.
     
  • Adjusted EBITDA, defined here as net income from continuing operations before taxes, depreciation, amortization and other income adjusted to exclude share-based compensation expense, decreased 12.8 percent to $27.4 million, compared to $31.4 million in 2013.
     
  • Net income from continuing operations was $19.8 million, or $1.12 per diluted common share, compared to $17.7 million, or $1.08 per diluted common share in 2013 primarily as a result of the favorable tax benefit of 3.9 percent in 2014.
     
  • In November 2014, the Company ceased its operations in Venezuela due to the difficulties and uncertainties related to import controls, difficulties associated with repatriating cash and high inflation. The Company incurred a loss from discontinued operations of $10.0 million, or ($0.56) per diluted common share in 2014.
     
  • Cash and cash equivalents as of December 31, 2014, were $58.7 million, compared to $77.2 million as of December 31, 2013. The Company used cash to pay dividends of $35.2 million, repurchase shares of common stock of $7.5 million, and reinvest in its information technology systems of $20.1 million. These cash outflows were partially offset by the issuance of 2.9 million shares of common stock to Fosun Pharma for aggregate net proceeds of $44.8 million in a private placement transaction.
     
  • Shareholders' equity as of December 31, 2014, was $129.0 million, compared to $105.3 million as of December 31, 2013.
NSP Americas Results for the Fourth Quarter of 2014:
  • Net sales revenue decreased 5.8 percent to $44.2 million, compared to $46.9 million in the fourth quarter of 2013. In local currencies, net sales revenue decreased by 4.4 percent compared to the fourth quarter of 2013. The decrease was primarily driven by the consolidation of NSP Japan and Synergy Japan and the transition of NSP United Kingdom to an export market. The NSP Americas segment no longer has any businesses in Japan and Europe.
     
  • NSP United States recorded net sales growth of 2.6 percent, its second consecutive quarter of growth. New sales programs gained traction with increased adoption of IN.FORM which is focused on weight management and building a daily Habit of Health and new retail sales tools. NSP Canada also recorded its second consecutive quarter of net sales growth at 9.6 percent.
     
  • Contribution margin, defined as net sales revenue less cost of sales and volume incentive expense, decreased 4.3 percent to $17.9 million, compared to $18.7 million in the fourth quarter of 2013, primarily reflecting lower net sales revenue as a result of the merger of NSP Japan and Synergy Japan and the transition of NSP United Kingdom to an export market.
     
  • Active Managers within the segment were approximately 6,600 and active Distributors and customers within the segment were approximately 135,900 as of December 31, 2014, as compared to 7,400 and 148,800, respectively, as of December 31, 2013. Managers were down 10.8 percent, and Distributors and customers were down 8.7 percent compared to the prior year quarter. The decline in the number of Managers was primarily due to combining NSP Japan with Synergy Japan and the transition of NSP United Kingdom to an export market. Excluding Japan and the United Kingdom, Managers were down 1.3 percent and Distributors were down 4.7 percent.
NSP Russia, Central and Eastern Europe Results for the Fourth Quarter of 2014:
  • Net sales revenue decreased 37.6 percent to $10.6 million, compared to $17.1 million in the fourth quarter of 2013. Net sales in Ukraine continue to be the most heavily affected by the escalation of political unrest, although other markets across the region were also adversely affected. In conjunction with the political unrest, the weakness of the Ukrainian Hryvnia and the Russian Ruble have contributed to lower revenues as the Company's products in the region are priced in U.S. dollars and therefore become more expensive when the local currency declines in value.
     
  • Contribution margin decreased 34.1 percent to $3.7 million, compared to $5.6 million in the fourth quarter of 2013, primarily due to lower net sales revenue.
     
  • Active Managers within the segment were approximately 3,700 and active Distributors and customers within the segment were approximately 97,900 as of December 31, 2014, as compared to 6,000 and 131,800, respectively, as of December 31, 2013.
     
  • As noted above, sales in NSP Russia, Central and Eastern Europe will continue to be adversely affected by the devaluation of the Ukrainian Hryvnia and the Russian Ruble, political unrest in Ukraine and Russia, and sanctions against Russia. As such, the Company does not expect net sales declines to reverse in the near term. The Company is continuing to evaluate various options to keep its Distributor base in Ukraine and Russia engaged.
Synergy WorldWide Results for the Fourth Quarter of 2014:
  • Net sales revenue increased 8.3 percent to $30.8 million, compared to $28.5 million in the fourth quarter of 2013. In local currencies, net sales revenue increased by 13.0 percent, compared to the fourth quarter of 2013, driven by increased sales in South Korea, Japan, and Europe, partially offset by declines in North America.
     
  • The increase in net sales revenue is primarily a result of re-engaged leadership, strong execution and momentum stemming from Synergy's global summit and the launch of Synergy's SLMsmart weight-management program in South Korea and Japan.
     
  • Synergy South Korea achieved local currency net sales growth of 4.3 percent. Synergy Europe achieved local currency net sales growth of 23.3 percent, the second consecutive quarter of growth since the fourth quarter of 2013.
     
  • Contribution margin decreased 11.8 percent to $9.4 million, compared to $10.7 million in the fourth quarter of 2013, primarily as a result of the increased allocation of manufacturing costs to the Synergy operating segment.
     
  • Active Managers within the segment were approximately 3,100 and active Distributors and customers within the segment were approximately 58,800 as of December 31, 2014, as compared to 3,000 and 51,800, respectively, as of December 31, 2013.
China and New Markets Results for the Fourth Quarter of 2014:
  • Net sales revenue for the Company's export markets increased 22.0 percent to $1.0 million, compared to $0.8 million in the fourth quarter of 2013.  The increase was primarily due to the transition of the NSP United Kingdom to an export market, in which the Company sells its products to an independent locally managed entity that has distribution rights for the market. There are presently no Managers or Distributors in the China and New Markets segment.
     
  • Contribution margin increased 27.0 percent to $0.4 million, compared to $0.3 million in the fourth quarter of 2013, primarily as a result of the increase in net sales.
