Forbes Backs Herbalife

In an article titled, "Hedge Fund Manager Wages War on the American Entrepreneur", Forbes is backing Herbalife in it's continuous battle against Bill Ackman: 

Bill Ackman of Pershing Square Capital Management has spent a lot of time and energy acquiring shares of stock in Herbalife and attempting to short sale those shares – while working to have the decades-old Herbalife sales program declared a pyramid scheme!

By doing this, I’d actually venture to say he’s waging war on the American entrepreneur – those men and women who have bought into the Herbalife promise of health and profits.

What is Herbalife? Plain and simple: Herbalife International is a multi-level marketing company that sells nutrition, weight management and skin-care products. The company has more than 6,200 employees worldwide and reported net sales of more than $4 billion in 2012.

Herbalife has been around since 1980. There is no pyramid scheme in history that has lasted 33 years. I don’t proclaim to be a mathematician, but I do know that when you need more and more recruits to pay off earlier investors you soon run out of new recruits.

If Herbalife were a true pyramid scheme, you, me and the newspaper carrier would all be recruits by now.
But controversy is nothing new to Ackman.

In 2010, Ackman’s firm Pershing Square Capital Management acquired 39 million shares of J.C. Penney at $25 a share. This year, Ackman sold his entire stake – at a nearly $500 million loss. Ackman quit the J.C. Penney board earlier this summer following disagreements about the company’s leadership. The company has since made efforts to rebuild its worth.

While Ackman is trying to gain profit by waging war, I’m not the only one to find his battle foolish… so does the stock market. Since Ackman began his crusade, Herbalife’s stock value has risen tremendously. Herbalife stock has risen by 116% in 2013.

“Since Ackman declared his short, shares of Herbalife have skyrocketed,”Business Insider reported in late November. “What’s more is a number of hedge fund managers have piled on by going long on the stock.  Those who are long include George Soros, Richard Perry, Stanley Druckenmiller, and Ackman’s rival Carl Icahn. Daniel Loeb was long for a few weeks in the first quarter, but sold his stake for a profit. Icahn has said he believes Ackman will be the victim of the ‘mother of all short squeezes.’”

Back to Ackman’s outlandish claim that Herbalife is a pyramid scheme.

Several years ago, while writing on behalf of the U.S. Federal Trade Commission, general counsel Debra A. Valentine noted: “Pyramid schemes now come in so many forms that they may be difficult to recognize immediately. However, they all share one overriding characteristic. They promise consumers or investors large profits based primarily on recruiting others to join their program, not based on profits from any real investment or real sale of goods to the public.”

Ackman needs to read this line over and over rather than spend his time creating a 342-page slide presentation on why he thinks the nutritional supplement seller will go to $0.

Even after suffering about $500 million in losses, Ackman stands by his accusations and beliefs. In fact, he was recently quoted by all the major news outlets proclaiming he will take his Herbalife short bet as far as he needs.
“I will go to the ends of the earth to shut this company down,” he said.

He may be better directed to the Herbalife website that notes: “Our Mission is to change people’s lives by providing the best business opportunity in direct selling and the best nutrition and weight-management products in the world.”

Products! There’s the magic word. Herbalife reps actually sell products. They sell them to you; they sell them to me. And there are a lot of people who swear by the health properties of the Herbalife products…

Imagenetix Vs. NIKKEN – Attempt To Invalidate Patent Fails

Imagenetix, Inc. IAGXQ -33.33% , announced today that the Board of Appeals for the United States Patent & Trade Office (USPTO) rejected NIKKEN's effort to invalidate Imagenetix's patent no. 5,569,676 and issued a decision confirming the validity of the patent.
On November 27, 2013, Imagenetix requested that its case against NIKKEN be reinstated. In this suit, which was originally filed on April 29, 2011, Imagenetix seeks damages for NIKKEN's willful infringement of Imagenetix's patent.
In response to Imagenetix's lawsuit, NIKKEN sought for the USPTO to invalidate Imagenetix's patent through the agency's re-examination process. Following a patent examiner's initial determination of the patent, NIKKEN prematurely–and incorrectly–issued a press release (on January 12, 2012) stating the following:
"The United States Patent Office (USPTO) re-examined Imagenetix's patent No. 5,569,676 and rendered its final decision, rejecting Imagenetix's patent claim."
Now that the USPTO has issued its final decision confirming the validity of the patent, NIKKEN has not yet issued a correcting press release notifying its distributors or others of the agency's decision.

Zeek Insiders To Plead Guilty

Two top officials who helped perpetuate what federal authorities are calling the densest Ponzi scheme ever will plead guilty to investment fraud and other criminal charges for their roles in the Lexington-based operation.
U.S. Attorney’s Office officials announced Friday that former Zeek Rewardschief operating officer Dawn Wright-Olivares and master programmerDaniel C. Olivares, her stepson, agreed to terms on charges that they helped raise more than $850 million by deceiving 2.2 million users throughout the world.
The company’s top executive and Davidson County resident, Paul Burks, has not been charged criminally, but was referenced in court documents. Burks, 66, who lives near Wallburg, settled with the U.S. Securities and Exchange Commission last year for $4 million on civil charges related to the alleged fraud.
The SEC shut down Zeek Rewards and parent company Rex Venture Group last August, and a court-appointed receiver is collecting money for more than 100,000 claimants who lost money.
Plea agreements released Friday show Wright-Olivares, 45, of Clarksville, Ark., will plead guilty to investment fraud conspiracy and tax fraud conspiracy, while Olivares, 31, also of Clarksville, will plead guilty to investment fraud conspiracy. Each charge carries a maximum prison term of five years and a $250,000 fine, according to a bill of information filed in U.S. District Court in Charlotte.
Wright-Olivares’ tax fraud conspiracy charge stems from new allegations that she, the company and other insiders:
• Paid themselves large salaries and other payments without keeping accurate or complete records.
Used multiple bank accounts and Internet-based “e-wallets” in the U.S. and abroad without keeping accurate or complete records.
• Failed to file any corporate tax returns or corporate tax payments with the Internal Revenue Service.
Also, in 2007, Wright-Olivares and other insiders reported to the IRS that they paid affiliates more than $108 million, while Zeek Rewards actually paid out less than about $13 million that year, according to the bill of information.
The criminal charges were filed in parallel to a civil action, issued by the SEC, that will force the two to forfeit millions of dollars tied to investor payments. Wright-Olivares, who served as Zeek’s principal marketer, will forfeit at least $8.1 million, while Olivares, the chief architect for the company’s databases, will pay at least $3.2 million to settle the charges. Those amounts reflect their ill-gotten gains, said Stephen Cohen, an associate director in the SEC’s Division of Enforcement.
“After they learned Zeek Rewards was under investigation by law enforcement, they accepted substantial sums of money from the scheme while keeping investors in the dark about its imminent collapse,” Cohen said in a statement.
Promoted as the advertising division of the penny auction website Zeekler.com, Zeek Rewards affiliates essentially invested by purchasing large quantities of bids for the auction site. Most affiliates then sold or gave away those bids to new auction users and placed daily advertisements online, enabling them to share in the company’s daily net profits.
However, the SEC alleged new Zeek Rewards affiliates weren’t buying into a legitimate business model, but rather financing earlier investors’ paychecks. The SEC claimed that about 98 percent of the company’s revenues — and subsequent daily net profits — were derived from new affiliates, rather than actual retail purchases on the penny auction site, according the SEC’s original complaint on Aug. 17, 2012.
Conspirator ‘P.B.’ listed in documents
While Burks was not directly named in any filings, court documents list an unindicted co-conspirator and company owner as “P.B.,” who authorities say was equally responsible for deceiving users and perpetuating the tax fraud allegations.
Lia Bantavani, a public affairs officer with the U.S. Attorney’s Office in Charlotte, said the office does not comment on pending investigations, but said the investigation is ongoing.
Documents allege “P.B.,” Wright-Olivares and other co-conspirators took several steps to conceal the true nature of Zeek Rewards as the alleged scheme grew, including attempting to eliminate specific terms like “return on investment” and “compounding” from the company’s literature. Authorities say “P.B.” also provided “bogus daily net profit” figures to Olivares that usually equated to what the company pledged to its investors.
“P.B.” also benefitted from personal transfers and was enriched $10.1 million while the company was in operation, according to the documents.
Burks, who has declined to comment publicly on multiple occasions, is a Louisiana native who moved to Davidson County in the early 1990s. The one-time nursing home magician and state house candidate started Zeek after creating several other Internet-based companies.
COO was key member of inner-circle
During the company’s short tenure, Wright-Olivares often served as the face of Zeek Rewards. She appeared at local “Red Carpet Events” and did interviews with popular proponents and bloggers associated with multi-level marketing, the multibillion dollar industry where people sell products directly to consumers.
She has helped promote multiple marketing-based companies in the past decade, and she is currently associated with a local trading store and organic juice bar and restaurant in Arkansas.
“It’s a really neat, digital way to let people shop,” Wright-Olivares said of Zeekler.com during a 2012 video interview with popular MLM blogger Troy Dooly. “We have a lot of people enjoying that business model.”
But federal authorities said in actuality, there was little profit from the penny auctions, which forced company officials to pay older investors with newer investors’ money. They called it a “classic” Ponzi scheme, one poised to collapse when promoters were unable to recruit new affiliates.
Zeek’s rapid rise could well be one of the largest contributing factors of its demise. Pledging returns of up to 1.5 percent per day and granting extra commissions for signing people up, Zeek’s founders offered a business model that was appealing to hopeful entrepreneurs and low-to-middle class families trying to make a little extra money during a tough economy.
Jerry Nicholson, of Morrhead, Minn., lost $2,000 through the company he originally praised for its mandatory compliance training and “doing things right and in the best interests of all.”
“You are asking if I have regrets? Yes, I do,” Nicholson said this week. “This company took away money from people who wanted to get ahead in life. I am hoping to get my money back, but we will see what happens.”
But Zeek’s promises also made some question if the program was too good to be true.
Las Vegas resident Patty Linson thought that, but still decided to send a check for $3,500 to the company days before it shut down.
“Everyone I could see involved in this were praying people who believed in doing the right thing,” Linson said. “It was about winning, but it was more about people getting together and uniting and helping one another during a difficult time.”
Thankfully for Linson, Zeek never got the check, and she was made whole. That will likely not be the case for more than 100,000 claimants still waiting on recovery.
More civil suits starting
Most affiliates bought in with Zeek Rewards from $1,000 to $10,000, and some families invested together for upwards of $50,000, total.
While court-appointed receiver Ken Bell estimates about 840,000 users lost money, the amount of actual people is expected to be much less, as some investors used multiple user accounts.
A receivership team has collected more than $320 million for what will likely be more than 100,000 legitimate claimants. Bell said recently he’s confident “net losers” can be made whole greater than 50 percent, or 50 cents on the dollar. By the end of December, his receivership team hopes to send out 80,000 to 100,000 determination letters, most of which will tell claimants they agree with their claim amount.
About 170,000 total claims were submitted through an online portal this year, making up a gross total of about $600 million. The actual figure representing recognized claims will likely be a lot less, Bell said.
Bell intends to make a partial disbursement to valid claimants during the first quarter of 2014.
Exactly how much is returned to claimants depends on how much more money the receivership team is able to collect. Bell intends to sue Zeek insiders, including Burks, Wright-Olivares and Olivares, as well as major “net winners” who profited from “fraudulent transfers” while the company was in operation. There are also several additional financial institutions that could hold millions of Zeek money.

Trish Schwenkler – ASEA Top Earner Interview

Trish Schwenkler  in partnership with her "techie" husband Bob, is the Nr. 1 Top Earner in ASEA. Trish and Bob live in Boise, Idaho. The couple have  been full time networkers for over 20 years.
Trish and Bob Schwenkler are Triple Diamond ASEA leaders, with 24 Diamond+ leaders on their team. Some of the countries where their prolific team is operating: US, Canada, UK, Ireland, Sweden, Norway, Denmark, Germany, Belgium, Italy, and ASEA is open also in France, Spain, Croatia, Hungary. Trish and Bob will be instrumental in opening Mexico the first quarter of 2014.
Trish recently was given the top award in ASEA at the ASEA convention in San Diego Sept 2013 and is an ASEA Advisory Council Member..  Trish & Bob are inaugural members of the ASEA Millionaires Club.
Ted Nuyten had the honor to interview Trish.
Trish, how did you discover MLM?
In 1993, I was a stay-at-home mom, raising our three children. Bob was the bread winner. He earned a nice living and life was good! Until one day…. Bob came home early from work one day… he had been downsized, rightsized, capsized, just like what is happening now in the economy,…that was the day we learned that "job security" is an oxymoron!
Bob decided to go independent and worked as a consultant and developing products for the semiconductor industry. In the meantime I was introduced to the wonderful world of network marketing thru a product that literally changed my life for the better. Bob's independence as consultant allowed him to help with family duties and with the behind the scenes for my fledgling networking business.
It was definitely a learning experience. I was consumed with the concept of "making a living while making a difference", so I put alot of time, energy, and focus into my business. It paid off!    4 years into my first company,  I was earning  in a month what Bob had previously earned in a year!!!  This industry delivers if you are "willing to do what others won't do , so you can live the rest of  your life like others can't."    
After 7 years in our former company, we advanced to the highest rank for the company, and we were earning a 7 figure income! "7 figures in 7 years!" whooohooooo! What could be better?!?     We stayed with our first   company for 15 wonderful years (we are not the kind of people who jump around alot), but in July of 2008, we decided it was time for a change, and subsequently sold that business.  (Yes, a network marketing business is a sale-able, will-able asset!)
In transition, I had some great learning opportunities with some good companies, but kept hoping to find a new "home". I wanted a company with "soul", a company that I could once again give my heart to. In Dec 2009,  we found ASEA…and that was the beginning of our new wonder-full ASEA life!


How did you find ASEA and who is your enroller?
Because I have been a networking professional for many years,  people contact me regarding  NWM opportunities. I  received a few calls from a few people over a period of 6 months regarding ASEA but the timing was not right and no one follow-uped up in an effective manner!  If they did, I may  have joined them. (now there's a lesson).    Finally in Dec 2009, Alan Noble began talking to me about ASEA and became my enroller.
Why did you join ASEA ?
I joined ASEA because I absolutely need to believe in something with my whole  heart to be able to promote it with enthusiasm and integrity. I found what I was looking for in ASEA: a unique health technology based on a new field of science "redox biochemistry", heavily patented, no copycats; a technology that truly blesses and transforms people's lives.
 Founders and executives I trust. A company that strives to make every decision  on "P over E" meaning that "Principles and Purpose come before Ego and Economics."  ASEA's objective is to become a legacy company: not necessarily the fastest company, but the most respected company with controlled sustainable marked growth. Did you start from scratch building up your team in ASAE?
When I joined ASEA I had been a full time networking professional for 15 years. I had  built a reputation. After you do that, you never have to start over at square 1 again. But we didn’t “touch” people in the business that we sold… so in that sense we started over- but I was well served by lot’s of industry connections and the credibility of solid business building in our previous company.
What was your biggest challenge to build up a team?
I believe when you find your "home" where you can "Believe, Belong, and Become" that a higher power takes over and things just flow. Sure I worked long hours on the phone day after day, and put in alot of effort  (and I still do,) but honestly there have been no big challenges building my ASEA team. The product is so powerful that it does the "heavy lifting" for me.
How has Network Marketing enhanced your lifestyle?
NWM has given me the ability to live a purpose driven life and the time to focus on what matters most in life… what can be better than that? NWM has empowered me to change tens of thousands of people's lives for the better around the globe… who can ask for more  than that? Zig Ziglar says that "you can have everything you want, if you just help enough other people get what they want."
I believe that is true, and I do my best to focus on serving others; when I do that, everything else takes care of itself! As a result of our wonder-full MLM life, Bob and I have  attained everything we ever hoped for (and more): incredible health, amazing happiness and fulfillment, abundant  finances, incredible self development.
"It's not what you have that counts, it's who you become in the process that is the most important."
Is personal development important for you?
My first sponsor in NWM told me "Where you'll be 5 years from now depends on the books you read, the tapes you listen to, and the events you attend." I made personal growth a priority 20 years ago at the beginning of my NWM career. Jim Rohn says "Work harder on yourself than you do on your job."
I have taken his advice to heart for the past 20 years: personal growth and personal development is the cornerstone  of my NWM lifestyle.
How are you dealing with rejection?
As professional mlmers we learn to be looking for those who are looking for improved health, lifestyle, a sense of entrepreneurship. Those who choose to continue on “as is”, who don’t fully investigate our opportunity, our product, well that is their choice.
So let’s look for those who are looking for us… and these “rejections” may be the ones who lead us to that person who is looking for us-  I ask for referrals… “I know that you are not interested in ASEA right now… but as you were learning about what this product, who popped into your mind that may benefit from ASEA? Who maybe looking for a new opportunity?”…
Who have been your mentors or inspirators?
My husband Bob, has been my #1 life mentor, teaching me by example to be gentle, loving, kind, and calm. My first MLM mentor was Dave Johnson. I hope he reads this, I want to give him credit for that.
Numerous mentors along the way: Jim Rohn, Zig, Deepak, Napoleon… you know…all of our “good friends”!
As an "Old School" MLM rockstar do you use social media?
Well, thanks for the compliment Ted!!!   Of course, I am a KEWL person! My husband is a big techie, and we  use and leverage social media, SEO etc more and more. My 29 year old daughter is my assistant, and we continue to move ever upward in this information age world that we live in! Long live Facebook lol!

Rex Venture Group, LLC d/b/a ZeekRewards.com – Notice of Receiver’s Claim Determination

To Affiliates and Other Claimants of Rex Venture Group, LLC
On December 27, 2013 we began sending out more than 80,000 emails notifying claimants that their Letter of Determination is available for review. The Letter of Determination tells claimants the amount(s) of their claim(s) recognized by the Receiver.  While I tried to make this process as understandable as possible, judging by the number of emails and phone calls, there is a lot of confusion and misunderstanding about how this process works.  I write this message to answer the most frequently asked questions.
While we have sent more than 80,000 Letters of Determination, we have received more than 170,000 claims, so roughly 90,000 claimants have not yet been sent a Letter of Determination. Every affiliate claimant will receive a Letter of Determination as soon as we are able to review and evaluate the claim.  We are working hard to get this done as quickly as possible for every affiliate claimant.  If you have not yet received a letter of determination, you will.  Please be patient, and do not send emails or leave voicemails asking when you will get your Letter.
Many claimants who have not yet received a Letter of Determination are trying to login using a link forwarded  to them by a claimant who has received a Letter of Determination.  This will not work.  The link will only allow a claimant who received an email notifying them that their Letter of Determination is available for review to login to the system. 
Many claimants who received a Letter of Determination report that they cannot login because their Claim ID and/or password are not being recognized.  This is because the claimant has forgotten one or both, or created more than one User ID or password, and is trying to login with the wrong one.  If a claimant is having trouble logging in, please use the User Name Recovery tool that is linked to the login page on the portal. 
Many who have received a Letter of Determination are confused about the amounts recognized.  For every claim we "recognize" two amounts: the amount of money the claimant paid to Rex Venture Group/ZeekRewards (referred to as "Receivership Defendant") before August 17, 2012, and the amount of money Rex Venture Group/ZeekRewards (again referred to as "Receivership Defendant") paid to the claimant before August 17, 2012.  Both numbers are important in determining how much money will be paid to each claimant once the Court approves a Distribution Plan.  Some claimants look at the line showing "Payments from Receivership Defendant" and mistakenly think this is the amount of their claim recognized by the Receiver.  "Payments from the Receivership Defendant" is simply the amount (if any) paid to the claimant by Rex Venture Group/ZeekRewards before August 17, 2012, that is, before the Court appointed the Receiver.  It is NOT the amount of the recognized claim.  Claimants can Accept both of the amounts ("paid to" and "received from"), or object to one or both of the amounts.
Many claimants ask if they still have to complete the online forms even if they Accept the Determination.  The answer is yes, and the reasons are explained in Claims FAQ 33.  Some claimants report difficulty completing the forms online.  We have thoroughly tested, and continually test, the ability to submit these forms to be sure the online process is working properly. 
Many claimants ask if completing the W-9 or W-8 (and perhaps later receiving an IRS Form 1099) means they will have to pay tax on a future distribution from the Receivership.  Receiving a Form 1099 does not necessarily mean that a claimant will owe taxes on the future distribution.  Each claimant's tax situation is different, so I encourage each claimant to consult with his/her tax preparer or professional advisor.  We are simply required, by applicable law, to report to the IRS if the Receivership distributes more than $600 to any claimant. 
Because Forms W-9 and W-8 require a Social Security Number or Tax Identification Number, many claimants ask if that information will be safe and protected.  Please be assured that it is and will be.
Do not send any documents directly to the Receiver.  The only Court approved Claims Process required claim information to be provided through the Claim Portal.  Documents sent to the Receiver will not be accepted or reviewed.  Also, do not send emails to or leave voicemails for the Receiver directly.  They are not  read or listened to.  All correspondence should be sent to claims@zeekrewardsreceivership.com.  Every email sent to that address is reviewed and forwarded to the Receiver as appropriate.  It is impossible to respond to every individual question, email or call.  Common questions are answered by postings at Zeekrewardsreceivership.com.  All available information and updates are posted there.

QNet Responds to ‘Scam’ Allegations in India

Zaheer Merchant, Director of Corporate Affairs for QNet, released the following statement in response to allegations made against the company and its local franchise:
"QNet operates internationally to the highest possible standards. Strict codes of conduct exist and policies and procedures are reinforced by training so that each of our many thousand Independent Representatives [IRs] understands the rules governing product sales and abide by the ethical codes of practice we follow.  
Whenever we are informed that any of our regulations have been broken we investigate these thoroughly.  In appropriate cases, stern action is taken.  
"The situation surrounding QNet in India and in Mumbai particularly appears to be some form of orchestrated sustained attack on the company to undermine our reputation and prevent us from competing fairly and openly in India.  
The manner in which an alleged unmerited claim of fraud, which itself has not and cannot be substantiated, has been used to arrest staff, freeze assets and threaten criminal proceedings does not bear up to scrutiny.  
We are confident that as the true facts emerge the aggressive and calculated attack on QNet will be apparent to all and appropriate action will be taken".
"QNet is carrying out its own independent investigations and is making rapid progress in understanding the true circumstances and motivations in this 'corporate raid'.  We will take immediate and strong legal action against those who have sought to harm the company and will pursue the parties for damages wherever we find due cause."
Facts about the allegations around QNet in India
In April 2013, Parmeet Kaur, wife of computer consultant Gurupreet Singh Anand, filed a complaint against QNet and its local franchisor Vihaan Direct Selling (India) Pvt. Ltd. ['Vihaan'] at Oshiwara Police Station in Mumbai.  
The complaint alleged that three representatives of Vihaan sold Parmeet Kaur a bio-disc which would be able to 'help her son's brain damage'.  The three representatives deny misrepresenting any product to Parmeet Kaur as this would be in breach of the agreement they signed with Vihaan. Company records indicate that Parmeet Kaur did not agree to purchase a bio-disc but signed up for an educational course.  This was cancelled by her husband along with the cheque.
The three representatives who allegedly misrepresented matters were not amongst those subsequently arrested for fraud.
The original complaint made by Parmeet Kaur was withdrawn on 18th May 2013.  The fact Parmeet Kaur's cheque to pay for the product was cancelled was cited in the police's closing report which clearly shows that Parmeet Kaur was not a victim.
On 18th August 2013 (3 months after the original complaint was deemed not to be a crime) the complaint was refiled by Parmeet Kaur's husband, Gurupreet Singh Anand.  This is in spite of the fact that no money changed hands between Parmeet Kaur and Vihaan and there has been no other change in circumstances.  Gurupreet Singh Anand confirmed in interview he cancelled the purchase before any product, as he claims, was received.  This matter was recorded as a 'No Crime' by the Police when first reported and there has been no further change in this position.  Independent legal review confirms there is no evidence of any crime.
On 22nd August 2013, as a result of this complaint by Anand, the offices of Vihaan in Mumbai and Bangalore were raided by police officers.  Several million dollars of assets were frozen and eight mid-level team leaders, including two couples, were arrested and held without charge for seventeen days.  Furthermore, several senior managers of QNet and Vihaan Direct and world billiards champion Michael Ferreira have been subjected to the threat of arrest.  
Those who misled the police or conspired and promoted the arrests, the freezing of substantial funds and assets based on a transaction, which didn't actually take place, will be subject of both criminal and civil complaints and litigation, the nature of which is presently under review.

Empower Network Donates $120,000 in 2013 to Nonprofit Organizations Nationwide

Prior to founding Empower Network, co-founders David Sharpe and David Wood experienced homeless life themselves.
