As part of our endeavour to touch hearts and help the less fortunate, QNET handed out Ramadan Bags of essential items in Egypt last week.
The charitable activity was carried out by QNET and a new committee of QNET leaders in Egypt headed by V Parter Adly Hassan and Associate V Partner Ibn Abbas Abdelsalam.
QNET Business Development Manager for Middle East and North Africa, Sherif Zahran says that giving back to the community in QNET in Egypt is an important part of what we do here.
“We understand the current economic situation and the suffering and financial burdens of many poor Egyptian families and this was a genuine token of support to those we met,” says Sherif.
The Ramadan bags were distributed first is an area called Zawyet Elnaggar where families really welcomed our team. And then, the remainder were taken to an Egyptian NGO in an area called Ezbet El Haganna where they were warmly received by a queue of needy community members.

Mannatech Reports 3.4% Increase in Q2 – 2014 To $46.3 Million

Second quarter net sales for 2014 were $46.3 million, an increase of 3.4% as compared to $44.8 million in the second quarter of 2013. Our net sales increased 2.2% in constant dollars, which is a non-GAAP financial measure that excludes the impact of fluctuations in foreign currency exchange rates.
 
Net loss was $0.7 million, or $0.26 per diluted share, for the second quarter 2014, as compared to net income of $0.8 million, or $0.30 per diluted share, for the second quarter 2013. The second quarter 2014 earnings were negatively impacted primarily by income taxes due to "tax return to provision" adjustments. Additionally, our income tax expense reflects our uneven performance in various jurisdictions; however, as we work toward being uniformly profitable, we anticipate that our effective tax rate will decrease.
We took charges to the inventory allowance of $0.8 million during the second quarter 2014 which reduced our gross profit margin to 79.0% as compared to 80.6% in the second quarter of 2013.
During the second quarter 2014, we conducted pre-launch activities of our Uth skin care product in our Asia/Pacific region. As a result, we have approximately $2.8 million in pre-orders, which are currently classified as customer deposits on our balance sheet that can be recognized as revenue upon fulfillment in subsequent periods. Moreover, after expensing and paying the commissions associated with these orders, we generated operating cash flow of $7.4 million for the first six months of 2014 as compared to $5.3 million for the same period in 2013.
For the three months ended June 30, 2014, our operations outside of North America accounted for approximately 54.9% of our consolidated net sales, whereas in the same period in 2013, our operations outside of North America accounted for approximately 52.4% of our consolidated net sales.
For the three months ended June 30, 2014, Asia/Pacific net sales increased by $1.5 million, or 7.5%, to $21.4 million, as compared to $19.9 million for the same period in 2013 primarily because of growth in the number of active associates and growth in the revenue per active associate and member. In constant dollars, net sales would have increased 4.0% to $20.7 million; the currency impact was primarily due to appreciation of the Korean won.
For the three months ended June 30, 2014, EMEA net sales increased by $0.4 million, or 11.1%, to $4.0 million, as compared to $3.6 million for the same period in 2013. The increases in active associates and members, which generated increased net sales, were partially offset by decreases in revenue per active associates and members. In constant dollars, net sales would have increased 16.7% to $4.2 million; the currency impact was primarily due to the South Africa Rand.
North American net sales decreased by $0.4 million, or 1.9%, to $20.9 million, as compared to $21.3 million for the same period in 2013 due to a decline in active associates and members.
Recruiting decreased 13.0% in the second quarter 2014 as compared to the second quarter of 2013. The number of new independent associates and members for the second quarter of 2014 was approximately 31,500, as compared to 36,200 in 2013. "We believe the second quarter comparability of new associates and members is being influenced by our changes to our major market's incentive program criteria, one of which extends the qualification period until the end of the third quarter 2014 whereas the prior year incentive programs terminated early in the third quarter 2013," commented Al Bala, President. The total number of independent associates and members based on a 12-month trailing period was approximately 239,000 as of June 30, 2014, as compared to 240,000 as of June 30, 2013.

Thirty-One Gifts Convention So Successful, They’re Doubling Up

Thirty-One Gifts’ recent convention in Columbus proved so successful the company will do it again next year – and double up in the process.
Thirty-One Gifts spokeswoman Sara Westtold me the growing direct-sales company will host a three-day conference for associates from the eastern U.S. the week of July 26 next year, and will relocate its conference for Canadian consultants from Niagara Falls, Ontario, to Columbus as well.
“We’ll have a three-day conference, then another three-day conference,” she said. “… It will be easier to manage if we break it out into two identical conferences.”
According to Experience Columbus, the 12,769 attendees for Thirty-One Gifts’ July 22-25 event this year occupied about 15,000 room nights at 36 area hotels. The conference had an estimated $17.5 million economic impact on the hotels, restaurants and other businesses.
The Niagara Falls conference attracted 800 associates from July 16-18. Thirty-One Gifts just started in Canada in September 2012, so West said the company expects the number attending the 2015 conference to grow.
The company announced a year ago it would return to Columbus after two years in Atlanta, where 16,600 attended in 2013. The company counts about 110,000 sales associates in all.
West said the company has scheduled another conference in Denver for July 2015. It had 5,000 at its inaugural conference last month in the Colorado capital city.
“That enables associates in the west U.S. to attend a conference closer to home,” West said.
Estimates for overall 2015 attendance remain unclear, but Thirty-One Gifts expects its conference numbers to increase.
“We’re still growing,” West told me, “and increasing the sales consultants all the time.”

TelexFree Co-Owner Pleads Not Guilty In Alleged Fraud

James Merrill entered a not-guilty plea for the TelexFree Inc. co-owner Wednesday in federal court in Worcester, his lawyer said.
Merrill, of Ashland, was president of the Marlborough-based phone service company, which is accused of running a $1 billion global pyramid scheme. His business partner, Carlos Wanzeler, remains a fugitive in Brazil and did not appear in court to face the charges.
Both men have been charged with nine counts of wire fraud and conspiracy. Each charge carries a possible maximum sentence of 20 years, but actual sentences are generally less than the maximums, according to the US Attorney’s office.
TelexFree sought federal bankruptcy protection in April, just as state and US securities regulators were days from filing civil fraud charges against the principals. Wanzeler fled the country that month to his native Vitoria, Brazil, while Merrill was arrested and held in jail for several weeks.
Merrill will remain home, wearing a GPS tracking bracelet and on $900,000 bail, officials said.

Claims Can Be Lodged For Banners Broker Loss

Those who put money in the collapsed Banners Broker investment scheme have been given the opportunity to stake a claim for their losses.
The joint liquidators of Banners Brokers International Ltd in the Isle of Man have also taken steps to inform investors about the ongoing investigation into the company’s affairs.
A website has been established where information documents can be downloaded and proofs of claim submitted.
These are to be supported with bank statements showing the initial investment and the pictures of the onscreen balance currently held in Banners Broker accounts.
The move comes three months after the joint liquidators, Paul Appleton and Miles Andrew Benham, were appointed following concerns about the conduct of the suspected pyramid scheme.
Immediately after the liquidation of the Isle of Man company, and the seizure of up to £6m (€7.5m) in assets, the Canadian-based owners of the operation claimed the bulk of their resources had already been moved to a sister company in Belize.
The cash in the bank in the Isle of Man was described as a rainy day fund which was not core to their business.
A statement on the advisory website said the joint liquidators were still investigating where the rest of the company’s money is held.
“The joint liquidators are in the process of investigating all aspects of the company in liquidation, including the extent of its operations, both locally and in other jurisdictions,” it said.
However the liquidators said it could be some time before any funds can be distributed.
“Given the multi-jurisdictional nature of the case, the joint liquidators will not be in a position to make a distribution [if at all] in the short term,” it said.
A media consultant acting for the liquidators, Paul McCarthy, said at the time of the initial liquidation application that there was close to 1,000 creditors who lost money.
However, he said that, since the information website had gone live, there had been a “tidal wave” of contacts from people who had invested in Banners Broker.
Mr McCarthy added that many of these are from Ireland.
He said the proof of claim form is available on the website which he said was straightforward to fill out and people could do themselves.
He said the website would also be updating people with information on the status of the liquidation.
Mr McCarthy is part of an English consultancy firm and is not the Paul McCarthy who ran the Irish operations of Banners Broker from an office on Dublin Hill, Cork.
The liquidators have said their will be no charge for anybody making a claim.

While it may seem impossible to forecast long-term economic cycles, Dent has established three key “Macro Cycles” that, when are all positive, are a near-guaranteed boom. These three “Macro Cycles” include the spending wave, the geopolitical cycle and the innovation cycle.
The last time the three long-term cycles were all bullish together was between 1988 and 2000. While the economy is in a bearish cycle from now until around early 2020, the next larger bullish cycle will take place after that.
Dent figured this out by identifying the peak spending point of consumers, which is around age 46. When the U.S. birth index is lagged by 46 years, it’s possible to see when spending will increase.
Thus, there was a boom from 1983 to 2007 and, consequently, that is how Dent predicted the downturn from 2008 to 2020.
In sum, all three “Macro Cycles” will switch into boom mode at the same time, turning the perfect storm into sunny skies once again. And the result of a future bullish economy provides a seamless opportunity for WorldVentures to continue expanding.
Until then, Dent wants entrepreneurs to strongly consider network marketing opportunities, including WorldVentures which is positioned in the more bullish travel and leisure sector. Distributors Sue Momentis For Breach Of Contract

Day in and day out, Internet users sign various forms of agreements for a variety of reasons, from joining a dating site, to participating in an online auction, to uploading media to a storage locker. These agreements, sometimes known as browse-wrap or click-wrap agreements, are necessary to memorialize and expedite the use of a website pursuant to well-defined rules. More often than not, these agreements substitute for more "traditional" contracts, and they are thus construed as such when contested in court.
A fundamental question intrinsic to contracts is whether an enforceable agreement exists at all. A dispute over the enforceability of an online agreement, and the arbitration provision therein, arose recently in state court in Texas. See Momentis U.S. Corp. v. Weisfeld, No. 05-13-01250-CV (Tex. App. July 23, 2014).Momentis involved a dispute between a marketing company and two of its "independent representatives."
To sell its products, Momentis U.S. Corp. (Momentis) contracted with third-party independent contractors called independent representatives (IRs). Bishop and Weisfeld (collectively, Plaintiffs) signed up to be IRs. In order to be accepted as such, prospective IRs must complete and sign Momentis’ IR agreement (the Agreement), Policies & Procedures, and submit an application fee. Once the prospective IR pays the application fee, Momentis sends the recruit a "welcome email" which it believes is tantamount to an acceptance of the application. Both the Agreement and the Policies & Procedures contained binding arbitration provisions.
The Plaintiffs completed all the necessary steps and joined Momentis as IRs. In September 2011, at a Momentis conference, its CEO told those gathered that for every IR in attendance who returned the following year and had "gotten at least a customer in the last year and sponsored a representative," Momentis would "pay for your hotel room, your event will be free, and we will give you $500 to be here." The 2012 conference cost $99 to attend, and a hotel room for both nights ran $340.
Relying on the offer from the CEO at the previous conference, the Plaintiffs requested either (a) to take advantage of the offer; or (b) to receive reimbursement of their 2012 conference expenses. Each of these requests were denied by Momentis management.
Plaintiffs then filed a class action suit against Momentis alleging violations of the state deceptive trade practices statutes, breach of oral contract, and promissory estoppel. In response, Momentis filed a motion to compel arbitration pursuant to the terms of the Agreement. The trial court denied that motion.
On appeal, Momentis contended that the trial court abused its discretion by deny the motion to compel. The appellate court agreed. To compel arbitration, a party must establish that (1) a valid, enforceable arbitration clause exists and (2) the claims at issue fall within that agreement’s scope. See In re Kellogg Brown & Root, Inc. 166 S.W.3d 732 (Tex. 2005). The satisfaction of those elements is governed by state contract law.  
See In re Palm Harbor Homes, Inc., 195 S.W.3d 672 (Tex. 2006). In essence, the Plaintiffs disputed whether the submission of the Agreement and Policies & Procedures electronically constituted a valid acceptance. Specifically, they claimed that there was no signature on the arbitration portion of the Policies & Procedures, and that even if there was, the agreements were unconscionable or void.
In response, Momentis filed an affidavit of its direct of research and compliance, Thomas Grissom (Grissom). Grissom detailed the manner in which an individual becomes an IR, including the fact that prior to becoming one, the recruit electronically signs the enrollment by clicking on the "Sign & Submit" option. Additionally, a recruit must select the "I Agree" option to signify agreement with the Agreement and Policies & Procedures. The court noted that, given the statutory provision within the Texas business code that states that a transaction by electronic means "is determined from the context and surrounding circumstances," Momentis had evidenced the existence of a valid transaction. See also Tex. Bus. & Com. Code Ann. § 322.005 (West 2009).
In particular, an enforceable contract had existed between Momentis and the Plaintiffs because Grissom’s testimony had established that the Plaintiffs agreed to the Agreement and the Policies & Procedures, and the arbitration clauses, therein, by clicking on the "I agree" selection and submitting their applications. Accordingly, the dispute between Momentis and the Plaintiffs over the purported offer by the CEO at the 2011 conference could be resolved solely via arbitration.
The only thing that is surprising about this decision is that it made it past the trial court. All the relevant agreements between Momentis and the Plaintiffs contained boilerplate language endemic to most agreements consummated online, e.g., arbitration clauses, and "entire agreement" provisions. Additionally, the Momentis protocol required two separate affirmations of intent to be bound in the form of the (1) "I agree" button and the (2) "Sign & Submit" button. If these manifestations of intent to be bound were considered insufficient for purposes of contract formation, it would likely undo the balance of online contracts created.

He was born in Turkey and studied at the University of Warsaw (Poland) and Istanbul.  He lives in Istanbul where he works full time on his international network marketing business.
He began in 2008 as an independent distributor for Mega Holdings and his earnings reached  $42,000 per month in 2013. As of February 2014 his earnings are topping $100,000 per month.

When asked how Enes got involved into the MLM business he stated:
"Well, like most people, I had pre-conceived ideas about network marketing. I had heard of Amway before because my family was involved in it.  So I was not interested to listen to any MLM company.
One day in 2008, a close friend called me and invited me to see him. He didn't mention a word about the business during the invitation. When we met, he introduced the business and explained the compensation plan.
I was fascinated and decided to join. But I didn't have any money, so I borrowed it from my mother. I repaid her within one month. Three years later, she told me that she didn't believe what I wanted to do at first, but she lent me the money only because she saw my strong belief in the business."

Tomboy Tools® is widening its scope with a new name and logo, new products, new categories and new marketing initiatives, the company announced today.
From now on, the company will do business under the name Project Home™, with the tag line, "Making your vision real."  The company will continue to use the brand name Tomboy Tools for its line of tools that are designed especially for women.
CEO Janet Rickstrew said that the new company name and initiatives mark what she anticipates to be an important step in the company's development.  "We are very excited about these actions, because we expect they will help define who we are and better show our growing scope of interest," said Ms. Rickstrew.  "We believe that we can resonate with all women who are in tune with keeping themselves and their families safe and secure."
